Examples of Conveyance Date in a sentence
On the terms and subject to the conditions set forth in this Agreement and the Credit Agreement, the Transferor shall Convey to the Transferee, and the Transferee shall acquire, on the applicable Subsequent Conveyance Date, all of the Transferor's right, title and interest in and to each Transferred Asset then reported by the Transferor on the supplement to the Schedule of Transferred Assets, together with all other Related Security and all proceeds of the foregoing.
The Transferor will take no action to cause any Transferred Asset that is not, as of the related Conveyance Date, as the case may be, evidenced by an instrument, to be so evidenced except in connection with the enforcement or collection of such Transferred Asset.
As of the related Conveyance Date thereof, the Transferor has no knowledge of any fact which should lead it to expect that any Transferred Assets will not be paid in full.
The Transferor hereby makes each representation and warranty contained in this Agreement and the other Facility Documents to which it is a party and that have been executed and delivered on or prior to such Conveyance Date to, and for the benefit of the Transferee (and its assignees), the Administrative Agent, the Lenders and the Collateral Agent as if the same were set forth in full herein.
