Examples of Conveyed Assets in a sentence
This Agreement creates a valid and continuing security interest (as defined in the applicable UCC) in the Receivables and the other Conveyed Assets in favor of the Grantor Trust, which security interest is prior to all other Liens, and is enforceable as such as against creditors of and purchasers from the Issuer.
The Issuer makes the following representations and warranties as of the Closing Date, on which the Grantor Trust will be deemed to have relied in acquiring the Conveyed Assets.
The representations and warranties regarding creation, perfection and priority of security interests in the Conveyed Assets, which are attached to this Agreement as Exhibit B, are true and correct.
It is further the intention of the parties hereto that the Conveyed Assets shall not be part of the Issuer’s estate in the event of a bankruptcy or insolvency of the Issuer.
The Issuer has obtained all necessary licenses and approvals in each jurisdiction where it does business and where the failure to do so would materially and adversely affect the ability of the Issuer to perform its obligations under the Transaction Documents or affect the enforceability or collectability of the Receivables or any other part of the Conveyed Assets.
