Corporate Employees definition

Corporate Employees means any and all employees of McREMI who are not Property Employees; provided that this definition shall not include any persons hired by Sellers to conduct the proxy solicitation process. "CRLPA" means the California Revised Limited Partnership Act.

Corporate Employees means any current employee of Seller or its Subsidiaries and any employee of Seller or its Subsidiaries hired after the date hereof and before the Closing Date, including such employees who are Central or Shared Function Employees, other than (i) Business Employees or Transferred Employees, (ii) any current employee of Seller or its Subsidiaries, and any employee of Seller or its Subsidiaries hired after the date hereof and before the Closing Date, for Seller’s electric utility operations in Missouri and Kansas, and (iii) any retirees of Seller or any of its Subsidiaries and any employee of Seller or its Subsidiaries who retires between the date hereof and the Closing Date.

More Definitions of Corporate Employees

Corporate Employees means: the CEO; the CFO; the General Counsel of GrafTech; and any other employee of the Company who does not perform services directly for a Line of Business and who is designated by the CEO as a Corporate Employee for purposes of the Plan.

Corporate Employees shall have the meaning set forth in Section 6.11(a).

Corporate Employees means the individuals described on Schedule 6.11(a)(2) and such other employees of the Seller’s corporate division that the parties hereto agree to in writing. Such list on Schedule 6.11(a)(1) shall consist of all active employees in the Healthcare Division (including all employees on approved leaves of absence or on short-term disability but excluding those employees or former employees receiving long-term disability benefits). Schedule 6.11(a)(1) shall be updated by Seller at least monthly between the date of this Agreement and the Closing Date, and no later than five days prior to the Closing Date, to add new hires whose employment is in the Healthcare Division and to remove individuals who have terminated employment or service (it being understood that an individual absent due to vacation, holiday or an approved leave of absence shall not be deemed to have terminated employment or service) or whose employment or service is no longer in the Healthcare Division.

Corporate Employees means the corporate level employees or former employees of Parent who are listed or referred to in Part I of Schedule 1.01(c) and, therefore, allocated to the Company and the Company Subsidiaries for purposes of responsibility for any retiree health obligations, severance obligations and restricted stock redemption expenses, as set forth in this Agreement.
