Corporate Resolutions definition

Corporate Resolutions means each of:
Corporate Resolutions means, collectively, the Board Resolutions and the Shareholders’ Resolutions.
Corporate Resolutions means one or more resolutions approving and confirming the increase in the share capital of the Issuer and the disapplication (for the purposes of the relevant capital increase) of any preferential subscription rights to enable the issue of a sufficient number of new Ordinary Shares to satisfy the exercise of Conversion Rights in full (assuming a Physical Settlement Notice has been given and on the basis that a number of new Ordinary Shares equal to the Reference Shares relating to all outstanding Bonds are issuable upon conversion) passed (1) at a general meeting of Shareholders; or (2) (following delegation to the board of the requisite authorities therefor by a resolution of the Shareholders) at a meeting of the board of directors of the Issuer.

More Definitions of Corporate Resolutions

Corporate Resolutions means the resolutions of Co-Borrowers authorizing one or more officers of Co-Borrowers to execute and deliver to RBL the Loan Instruments and authorizing Co-Borrowers to undertake and perform the transactions contemplated by the Loan Instruments.
Corporate Resolutions means the shareholders’ meetings or unanimous resolutions of the shareholders of the Companies, as the case may be, approving, among other things, (a) the transactions set forth in this Contract, (b) the transfer of the Shares for Sale in favor of the Buyers, (c) the amendment to the bylaws of the Companies, (d) the removal and appointment of the members of the Board and the statutory auditors of the Companies, as the case may be, (e) the revocation of all powers granted by the Companies and the granting of new powers by the Companies, and (e) any other matters agreed to by the Parties as necessary to implement any transaction considered in this Contract.
Corporate Resolutions means (i) the written resolution of the Dutch Guarantor's management board (bestuur) dated 6 March 2024 and (ii) the written resolution of the Dutch Guarantor's general meeting (algemene vergadering) dated 6 March 2024.
