This Contract and all attachments hereto, including, if applicable, Financing Addendum, Counter-Offer Addenda, Legal Description/Franchise Disclosure addendum, Statement of Condition addendum and Amendments constitute the complete agreement of the parties concerning the Property, supersede all previous agreements, and may be modified only by a written agreement signed by all parties.
In the event of a Counter-Offer, the Non-Competing Class shall have 30 days to decide either to accept the Counter-Offer or to make another offer by stating a single cash price, which is at least 5% higher than the Counter-Offer, at which it is prepared to purchase the Class Membership Interest of the Competing Class (a "Subsequent Offer").
In the event of an Initial Offer, the Competing Class shall have 60 days to decide either to accept the Initial Offer or to make a counter-offer by stating a single cash price, which is at least 5% higher than the Initial Offer, at which it is prepared to purchase the Class Membership Interest of the Non-Competing Class (a "Counter-Offer").
If either party fails to send or return a signed Confirmation in accordance with this clause 2.2 of Schedule 3, the accepted SP Transaction Offer or SP Transaction Counter-Offer (as applicable) shall be deemed to be the Confirmation for the purposes of this Agreement.
The Whitney Counter-Offer shall constitute an offer by the holders of the Whitney Securities to purchase the Securities that are the subject of the New Issue Notice at the Counter-Offer Terms.
