Covered Documents definition

Covered Documents means each of the following documents: (i) the Company’s Annual Report on Form 10-K for the fiscal year ended December 31, 2021, including those portions of the Company’s Proxy Statement on Schedule 14A filed on March 25, 2022 that are incorporated therein by reference; (ii) the Company’s Quarterly Report on Form 10-Q for the fiscal quarter ended March 31, 2022; and (iii) the Company’s Current Reports on Form 8-K (excluding any Current Reports or portions thereof that are furnished, and not filed, pursuant to Item 2.02 or Item 7.01 of Form 8-K, and any related exhibits) filed with the SEC after December 31, 2021.
Covered Documents means the Note Documents and any Additional Pari Passu Debt Documents.
Covered Documents means, collectively, all of the agreements, instruments and documents evidencing the terms of the Covered Facilities, in each case as in effect from time to time.

Examples of Covered Documents in a sentence

  • The Company may amend or supplement the Covered Documents at any time, but is under no obligation to do so.

  • Upon delivery of any amendment or supplement to the Covered Documents to the Purchaser by the Company, the Purchaser will discontinue use of the previous version of the Covered Documents, will return all unused copies of such previous version to the Company and will deliver copies of such Covered Documents as so amended or supplemented to all recipients of such previous version of the Covered Documents.

  • Nothing in this paragraph shall be interpreted as excusing any Grantor from the performance of, or imposing any obligation on the Collateral Agent or any Secured Party to cure or perform, any covenants or other promises of any Grantor with respect to taxes, assessments, charges, fees, Liens, security interests or other encumbrances and maintenance as set forth herein or in the other Covered Documents.

  • The Design/Builder shall not use the Covered Documents for any purpose not relating to the Project without the Owner’s prior written consent.

  • Such power of attorney shall grant the Creditor irrevocable authority upon the occurrence and continuation of an Event of Default to act on behalf of the applicable Credit Party with respect to any matter arising under any Covered Documents, including without limitation effectuating an assignment of any of the Covered Documents.

(as successor to Marvel Comics Italia, S.r.l.), Marvel and Istituto Bancario San Paolo di Torino, S.p.A., (iv) the Participation Agreement, dated as of August 30, 1994 (as heretofore and hereafter amended, supplemented or otherwise modified, the "Participation Agreement"), among Istituto Bancario San Paolo di Torino, S.p.A., the Agent and the banks and other financial institutions parties thereto, (v) the Line of Credit, dated as of March 27, 1996 (as heretofore and hereafter amended, supplemented or otherwise modified, the "Line of Credit"), among Fleer Corp., the financial institutions parties thereto and the Agent, (vi) each letter of credit issued for the account of Marvel or any of its Subsidiaries by a bank or other financial institution which is a party to the SkyBox Agreement or the Fleer Agreement, (vii) each interest rate agreement between Marvel or any of its Subsidiaries and a bank or other financial institution which is a party to the SkyBox Agreement or the Fleer Agreement, (viii) each other Credit Document (as defined in any of the foregoing) and (ix) each other promissory note, security agreement, pledge agreement, guarantee, mortgage or other document, instrument or agreement delivered in connection with, or otherwise relating to, any of the foregoing.
Covered Documents means each of the following documents: (i) the Company’s Annual Report on Form 10-K for the fiscal year ended December 31, 2019, including those portions of the Company’s Proxy Statement on Schedule 14A filed on April 24, 2020 that are incorporated therein by reference; (ii) the Company’s Quarterly Reports on Form 10-Q for the fiscal quarters ended March 31, 2020 and June 30, 2020; (iii) the Company’s Current Reports on Form 8-K (excluding any Current Reports or portions thereof that are furnished, and not filed, pursuant to Item 2.02 or Item 7.01 of Form 8-K, and any related exhibits) filed with the SEC after December 31, 2018; and (iv) the draft earnings release with regard to the Company’s results of operations for the fiscal quarter ended September 30, 2020 in the form provided to each Noteholder prior to the execution of this Agreement.
Covered Documents means the Revolving Loan Documents, the Term Loan Documents, the Initial Notes Documents and each Additional Pari Passu Agreement.
Covered Documents has the meaning specified in Section 12.1(i) of the Agreement.
