Covered Products and Services definition

Covered Products and Services means any and all Infringing Products and Services (and any of its/their components) that have been, will be, or are being Exploited by or for the First National Defendants (including properly licensed successors (subject to Section 6 (Change in Control / Acquisitions)) and permitted assigns (subject to Section 9.1 (Assignment)) or their Affiliates and only to the extent such Exploitation is done by or for the First National Defendants (including properly licensed successors (subject to Section 6 (Change in Control / Acquisitions)) and permitted assigns (subject to Section 9.1 (Assignment)) or their Affiliates and not done on behalf of an Excluded Party.

Covered Products and Services means the Products and Services referred to in clauses (a) and (b) of the definition of Covered Revenues, the Samples referred to in clause (d) of the definition of Covered Revenues and the Products, Services and Data referred to in the definition of “Sale of Data” referenced in clause (e) of the definition of “Covered Revenues”. If a Product or Service that was a Bundled Product or Service ceases to be a Bundled Product or Service, then effective as of the date on which such Product or Service ceases to be a Bundled Product or Service, it will not be a Covered Product and Service for any purpose under this CVR Agreement for so long as it is not a Bundled Product or Service and does not and would not generate Covered Revenues on a standalone basis.

Covered Products and Services means lift stations, pest elimination, scheduled landscape services, snow removal services, small wares (other than paper, equipment, food and small appliances), beer systems services, office supplies, yellow grease, hygiene products, cleaning services and window cleaning.

Examples of Covered Products and Services in a sentence

• Parent shall use, and shall cause its Subsidiaries to use, Diligent Efforts to Sell and commercialize Products of Parent and its Subsidiaries that are included in the definition of Covered Products and Services, in each case in the Field utilizing any Methylation-based Technology; provided, however, that such obligation to use Diligent Efforts shall terminate upon the End Date.

• In the event of such acquisition or merger, the Covered Products and Services shall automatically become limited to Seller’s products and services that had been commercially released by Seller prior to the effective date of such transaction and for new versions of such products and services that have merely incremental differences from such products and services that do not bring the new versions within the scope of any claim of the Patents that did not also encompass such prior products and services.

• This license shall apply to the use and subsequent redistribution of Covered Products and Services, in substantially identical form as they are distributed by Seller, but shall not otherwise be sub-licensable or provide Seller the right to act as foundry for any third Party.

• Waive a jury trial, pled GUILTY and allow the Court to decide punishment.

• In the event of a sale or other transfer of the assets of any Northern Trust Entity that does not include any part of a business line that provides the Covered Products and Services to an Excluded Party (hereinafter referred to as the “Non-Covered Transferee Entity”), then neither the Non-Covered Transferee Entity nor any of its Non-Covered Affiliates will gain the benefit of the license grant, covenant-not-to-xxx, or releases in this Agreement.

More Definitions of Covered Products and Services

Covered Products and Services means any past, present, or future application, product, apparatus, component, machine, system, module, manufacture, software, design, composition of matter, service, process, method, or technology that has been, will be, or is being Exploited by, on, for, to, through, or on behalf of Xxxxx Fargo that, in the absence of a license, release, or covenant-not-to-xxx granted pursuant to this Agreement, would allegedly infringe, either directly or indirectly, in whole or in part, any of the LML Patents. Such definition extends only to products and services to the extent they are Exploited through, with, by, for, to, or on behalf of Xxxxx Fargo.

Covered Products and Services means any device, system, method, or process that embodies or utilizes an invention claimed in one or more claims of an unexpired patent included in the Licensed Patents or in the patents identified by patent number and patent applications on Exhibit “B,” and which is sold, distributed, or otherwise provided by Licensee or its Approved Affiliates;

Covered Products and Services shall have the meaning specified in Section 6.12(a).

Covered Products and Services means any and all Infringing Products and Services (and any of its/their components) that have been, will be, or are being Exploited by or for HSBC (including properly licensed successors (subject to Section 6 (Change in Control/Acquisitions)) and permitted assigns (subject to Section 9.1 (Assignment)) or its Affiliates and only to the extent such Exploitation is done by or for HSBC (including properly licensed successors (subject to Section 6 (Change in Control/Acquisitions)) and permitted assigns (subject to Section 9.1 (Assignment)) or its Affiliates and not done on behalf of an Excluded Party.

Covered Products and Services means any past, present or future application, product, apparatus, component, machine, system, module, manufacture, software, design, composition of matter, service, process, method or technology made, used, sold, offered for sale, advertised, provided, imported, exported, offered, distributed, supplied, designed, tested, or developed by, on, for, to, through, or on behalf of, PAYPAL that, in the absence of a license granted pursuant to this Agreement, would allegedly infringe, either directly or indirectly, in whole or in part, any of the Patent Rights. Such definition extends only to products and services to the extent they are Exploited through, with, by, for, to, or on behalf of PAYPAL.

Covered Products and Services means the products and services provided by KSE to GoFish hereunder related to the generation of Sales, the Award Show and those items described on the attached Exhibit A.

Covered Products and Services means any and all Licensed Products and Services (and any of its/their components) that have been, will be, or are being Exploited by or for Northern Trust (including properly licensed successors (subject to Section 6 (Change in Control / Acquisitions)) and permitted assigns (subject to Section 9.1 (Assignment)) or their Affiliates and only to the extent such Exploitation is done by or for Northern Trust (including properly licensed successors (subject to Section 6 (Change in Control / Acquisitions)) and permitted assigns (subject to Section 9.1 (Assignment)) or their Affiliates and not done on behalf of an Excluded Party.
