Credit Facility Notes definition

Credit Facility Notes as used in this Mortgage shall have the meaning given to such term in the Credit Agreement.

Credit Facility Notes as used in this Guaranty shall have the meaning given to such term in the Credit Agreement.

Credit Facility Notes as used in this Agreement shall mean, collectively, the following: (i) that certain Note dated the date hereof in the original principal amount of $35,000,000.00 given by Borrowers to Xxxxx Xxxxxx, and (ii) that certain Note dated the date hereof in the original principal amount of $35,000,000.00 given by Borrowers to NationsBank, as such Notes may from time to time be amended, modified, extended, supplemented, renewed, replaced or restated.

Examples of Credit Facility Notes in a sentence

• If at any time the United States of America, any state thereof, or any governmental subdivision of any such state, shall require revenue or other stamps to be affixed to the Credit Facility Notes (or any of them), this Mortgage or any of the other Credit Facility Documents, Mortgagor will, to the extent permitted by law, pay for the same, with interest and penalties thereon, if any.

• Such security interests are being assigned for the benefit of the holders of the Senior Secured Credit Facility Notes and, on a subordinated basis, for the benefit of the holders of the Senior Notes.

• Notwithstanding any taking by any public or quasi-public authority through eminent domain or otherwise, Borrowers shall continue to pay the Debt at the time and in the manner provided for its payment in the Credit Facility Notes, this Agreement and the Mortgages and the Debt shall not be reduced until any award or payment therefor shall have been actually received and applied by Agent to the discharge of the Debt.

• Borrowers also agree that the venue of any litigation arising in connection with the Debt or in respect of any of the obligations of Borrowers under the Credit Facility Notes, this Agreement or the other Credit Facility Document (other than the Mortgages and the Assignments of Leases and Rents) shall, to the extent permitted by law, be in New York County, New York.

• Borrowers' obligation to repay the loans and other extensions of credit under the Acquisition Credit Facility shall be evidenced by Borrowers' promissory notes delivered to each Lender, which shall be in the respective principal amounts of each Lenders' Pro Rata Share of the Acquisition Credit Facility and which shall be in the form attached hereto as Exhibit "D" (collectively, the "Acquisition Credit Facility Notes").

More Definitions of Credit Facility Notes

Credit Facility Notes means the “Notes” under and as defined in the Credit Facility Agreement as in effect on the date hereof.

Credit Facility Notes. The term "Credit Facility Notes" as used in this Agreement shall mean, collectively, the following: (i) that certain Amended and Restated Note dated as of July 15, 1997 in the original principal amount of $27,500,000.00 given by Borrowers to Xxxxx Xxxxxx, (ii) that certain Amended and Restated Note dated as of July 15, 1997 in the original principal amount of $27,500,000.00 given by Borrowers to NationsBank, (iii) that certain Amended and Restated Note dated as of July 15, 1997 in the original principal amount of $20,000,000.00 given by Borrowers to First Chicago, (iv) that certain Amended and Restated Note dated as of July 15, 1997 in the original principal amount of $20,000,000.00 given by Borrowers to Mellon, (v) that certain Amended and Restated Note dated as of July 15, 1997 in the original principal amount of $20,000,000.00 given by Borrowers to PNC, (vi) that certain Amended and Restated Note dated as of July 15, 1997 in the original principal amount of $20,000,000.00 given by Borrowers to Summit, and (vii) that certain Amended and Restated Note dated as of July 15, 1997 in the original principal amount of $15,000,000.00 given by Borrowers to Signet, as such Amended and Restated Notes may from time to time be amended, modified, extended, supplemented, renewed, replaced or restated."

Credit Facility Notes shall have the meaning assigned thereto in Recitals hereof

Credit Facility Notes means the Credit Facility Notes issued in accordance with the Credit Facility, as amended or modified from time to time in accordance with the terms thereof.

Credit Facility Notes means the Term A Notes, Term B Notes, Term C Notes and Term D Notes issued by Seller under the Credit Agreement.

Credit Facility Notes means, collectively, the revolving credit and term notes issued by the Company and the Subsidiary Co-Borrowers under the Credit Agreement, as such notes may be amended, supplemented, modified, replaced, renewed, extended, refinanced or refunded from time to time in accordance with the provisions of Section 3.01 of the Intercreditor Agreement.

Credit Facility Notes appearing in Exhibit A of the Credit Agreement is hereby deleted in its entirety and the following definition substituted therefor:
