This Agreement contains the entire agreement and understanding between the parties hereto with respect to the subject matter hereof (other than the MOU (solely with respect to those portions of this Agreement that are not assigned to the Trustee), the Cross Receipt and the Indemnification Agreement), and supersedes all prior and contemporaneous agreements, understandings, inducements and conditions, express or implied, oral or written, of any nature whatsoever with respect to the subject matter hereof.
IN WITNESS WHEREOF, the undersigned have caused this Cross Receipt to be duly executed as of the date first above written.
The aggregate of the principal balances of the Home Loans being contributed and conveyed pursuant to this Agreement as of the close of business on the Cut-off Date, after application of all payments of principal received in respect of such Home Loans before the Cut-off Date (the "Initial Pool Principal Balance"), is set forth on the Cross Receipt executed concurrently herewith in the form of Exhibit F attached hereto (the "Cross Receipt").
The Investor will also deliver a duly executed Cross Receipt setting forth the Shares being purchased at the Closing and the Aggregate Purchase Price, substantially in the form of Exhibit A attached hereto.
The date and time shall be certified by the parties in the Cross Receipt and Certificate of Closing.
