Notwithstanding anything contained in this Agreement to the contrary, in no event shall the Cumulative Payments calculated for a Tax Year of this Agreement during the period from the first Tax Year of the Tax Limitation Period and ending with and including the first Tax Year following the end of the Tax Limitation Period, exceed an amount equal to One Hundred Percent (100%) of the Applicant’s Cumulative Unadjusted Tax Benefit for such Tax Year.
In the event that the Cumulative Payments for any Tax Year during the Limitation Period of this Agreement shall exceed the Aggregate Limit for that Tax Year, the Cumulative Payments owed for that year shall be limited to the Aggregate Limit for that Tax Year.
Any of the Cumulative Payments which cannot be paid to the District prior to the end of the first Tax Year following the end of the Tax Limitation Period (i.e. the Tax Year 2032) because such payment would exceed the Applicant’s Cumulative Unadjusted Tax Benefit under this Agreement will be deemed to have been cancelled by operation of law, and the Applicant shall have no further obligation with respect thereto.
If, for any Tax Year during the Limitation Period of this Agreement the Cumulative Payments owed under Sections IV, V and VI of this Agreement, exceed the limit set forth under Section 7.1 for such Tax Year, the difference between the Applicant’s Supplemental Payment Amount so calculated and the Limit set forth under Section 7.1 for such Tax Year, shall be carried forward from year-to-year until paid to the District.
Notwithstanding any other provision in this Agreement, in no event shall the Cumulative Payments calculated for a Tax Year of this Agreement during the Tax Limitation Period exceed an amount equal to the Aggregate Limit for such Tax Year.
