Current Directors definition

Current Directors means directors serving on the Board of Directors as of the date of this Agreement.

Current Directors means the directors of the board of GMI immediately prior to the Effective Date.

Current Directors shall have the meaning assigned thereto in Section 1.03(a) of this Agreement.

Examples of Current Directors in a sentence

• On the Effective Date, the Current Directors and Officers of the Debtors shall be established as the Directors and Officers of the Reorganized Debtors.

• The letter of credit shall additionally provide that draws may be made by any four of the Current Directors, one of which may but need not be the Indemnitee, upon their certification that (a) Indemnitee is entitled to indemnity or Expenses Advances under this Agreement, (b) Indemnitee has demanded the amount being drawn from the Company in writing, and (c) the Company has not paid the full amount within the time required by this Agreement.

• Such letter of credit shall be established no later than ten (10) days after the date of this Agreement and shall remain in place for an initial period of one year or, if less, until any four of the Current Directors, one of which may but need not be the Indemnitee, at their sole election, consent to the termination of such letter of credit.

• If, after the initial or any subsequent period, such letter of credit is not renewed for a subsequent period, any four of the Current Directors shall have the right to draw the full amount thereof to hold as cash collateral securing the obligations under this Agreement.

• Xxxxxx (xxong with Indemnitee, the "Current Directors") and Franx Xxxxxxxx, xxch of whom, along with Indemnitee, shall be named a beneficiary of the letter of credit.

More Definitions of Current Directors

Current Directors means Carl X. Xxxxx, X. Andrxx Xxxxx, X.C. Garrxxxx, X.X. Xxxxxx xxx Olin X. Xxxxxxxx. Upon the receipt of such Control Change Notice or, if no Control Change Notice is given, upon the occurrence of a Change of Control, the holder or holders of any Notes shall have the privilege, upon written notice (the "Tender Notice") to NHLP, of tendering all Notes held by such holder or holders serving such Tender Notice to NHLP for purchase and thereupon NHLP shall be obligated to purchase such Notes on such date (the "Payment Date") as NHLP shall specify in a written notice delivered to such holder or holders, which notice shall be delivered by NHLP to such holder or holders not later than 20 days prior to the Payment Date. The Payment Date shall be not later than 20 days after the consummation of such Change of Control, in the event that such Tender Notice is served on or prior to the date of the consummation of such Change of Control or 20 days after the date such Tender Notice is served, if such Tender Notice is not served on or prior to the date of such Change of Control, and NHLP covenants and agrees to purchase or cause to be purchased on the Payment Date all Notes held by such holder or holders serving such Declaration Notice to NHLP; provided, however, that in the event that a Control Change Notice has in fact been given as hereinabove contemplated, such Tender Notice shall be served prior to 60 days after receipt of such Control Change Notice. In the event that a Control Change Notice is given and a holder of the Notes fails to provide a Tender Notice within the time period set forth above, NHLP shall not be obligated to purchase the Notes held by such holder as a result of such Change of Control. Any such declaration shall be contingent upon completion of such Change of Control and, notwithstanding any of the other provisions of this ss.3.6, NHLP shall not be required to purchase any Notes pursuant to this ss.3.6 unless and until such Change of Control shall be consummated.

Current Directors means any member of a Party’s board of directors as of the relevant date thereof and any successor of such a director whose election, or nomination for election by the Party’s shareholders, was approved by at least a majority of the Current Directors then on such Party’s board of directors.

Current Directors means the directors on the Board. The Current Directors will continue to serve the Debtors or Reorganized Debtors, as applicable, until the later of (a) payment in full of Allowed Class 89 Claims and (b) further Order of this Court.
