Fees payable pursuant to the Custodian Fee Letter shall be computed on the basis of a 360-day year and the actual days elapsed for the related Collection Period and shall be based on the outstanding principal amount of the Collateral Loans determined as of the first day of the related Collection Period.
The Custodian shall be entitled to compensation for its services in accordance with the terms of the Custodian Fee Letter.
The Borrower agrees to pay to the Collateral Administrator, the Custodian and the Securities Intermediary such fees as are mutually agreed to in writing from time to time by the Borrower and the Collateral Administrator, the Custodian and the Securities Intermediary, including the fees set forth in the Custodian Fee Letter.
