Custom Goods definition

Custom Goods means goods which are manufactured and/or assembled to order or otherwise manufactured and/or assembled to your specific requirements or are a Special Order
Custom Goods means any Goods that are manufactured pursuant to Specifications provided by Buyer or agreed to by the Parties.

  • Buyer will fully inspect all Standard and/or Custom Goods within thirty (30) days of delivery ("Inspection Period").

More Definitions of Custom Goods

Custom Goods means Goods identified in the applicable Order as being custom Goods.

Custom Goods means any Goods specifically made in response to Customer’s design requirements and supplied under this Agreement that are not offered for general commercial sale by Illumina, including, without limitation, [*], Discontinued Consumables that are not replaced by Substitute Consumables or new, repackaged or reconfigured Consumables. For the avoidance of doubt, Goods may be Custom Goods regardless of whether they are offered for sale to one or more parties other than Customer. “Customer” is defined in the introductory paragraph of this Agreement.
Custom Goods means any Goods which are made, processed or ordered according to your unique specifications, or which are otherwise notified to you as being Custom Goods in the Quote;
Custom Goods means Goods which are either (i) Standard Goods which are to be modified, customized or refurbished in accordance with an applicable Specification; or (ii) Goods which are to be designed and/or manufactured in accordance with an agreed Specification.
Custom Goods shall include only those Goods which Supplier specifically designates as such in its quote to Buyer, and “Standard Goods” shall include all other Goods. Upon receipt of Xxxxx’s notice of termination, Supplier shall immediately cease work, terminate any subcontracts, and deliver to Buyer all completed and partially completed Goods, raw material, and work-in-process, or otherwise dispose of such Goods, raw material, and work in process in accordance with Buyer’s instructions. In the event Buyer fails to give notice within the time period provided above, Buyer’s liability to Supplier shall be limited to: (i) the price provided on the face of the Purchase Order for all Goods which have been completed prior to termination and which are accepted by Buyer, if produced in no greater amounts than to satisfy the delivery schedule for such Goods; plus (ii) to the extent commercially reasonable and accepted by Buyer, the actual expenditures on the uncompleted portion of this Contract including cancellation charges paid by Supplier on account of commitments made under this Contract; provided that Supplier has immediately upon notice of termination taken all reasonable steps to mitigate the costs resulting from termination. Notwithstanding the foregoing, Xxxxx’s liability shall not exceed the total price stated on the face of the Purchase Order for finished Goods delivered under this Contract. Supplier shall submit to Buyer, within ten (10) days of notification of the cancellation, any and all costs resulting from Buyer’s cancellation. Supplier shall not recover any cost submitted beyond that date.

Related to Custom Goods

  • Custom Products Products, preliminary, final or otherwise, which are created or developed by Contractor, its subcontractors, partners, employees or agents for Authorized User under the Contract.

  • Hire Goods means any Goods which are hired to the Customer;

  • Custom Materials means Materials developed by the Supplier at the Procuring Entity's expense under the Contract and identified as such in Appendix 5 of the Contract Agreement and such other Materials as the parties may agree in writing to be Custom Materials.   • Customer Software means software which is owned by or licensed to the Customer;

  • Counterfeit Goods are Goods that are or contain items misrepresented as having been designed, produced, and/or sold by an authorized manufacturer and seller, including without limitation unauthorized copies, replicas, or substitutes. The term also includes authorized Goods that have reached a design life limit or have been damaged beyond possible repair, but are altered and misrepresented as acceptable. Seller shall ensure that Counterfeit Goods are not delivered to Buyer. Goods delivered to Buyer or incorporated into other Goods and delivered to Buyer shall be new and shall be procured directly from the Original Component Manufacturer (OCM)/Original Equipment Manufacturer (OEM), or through an OCM/OEM authorized distributor chain. Work shall not be acquired from independent distributors or brokers unless approved in advance in writing by Buyer. When requested by Buyer, Seller shall provide OCM/OEM documentation that authenticates traceability of the affected items to the applicable OCM/OEM. In the event that Work delivered under this Agreement constitutes or includes Counterfeit Goods, Seller shall, at its expense, promptly replace such Counterfeit Goods with authentic Goods conforming to the requirements of this Agreement. Notwithstanding any other provision in this Agreement, Seller shall be liable for all costs relating to the removal and replacement of Counterfeit Goods, including without limitation Buyer’s costs of removing Counterfeit Goods, of reinserting replacement Goods, and of any testing necessitated by the reinstallation of Goods after Counterfeit Goods have been exchanged. Seller shall include equivalent provisions in lower tier subcontracts for the delivery of items that will be included in or furnished as Goods to Buyer.

  • Custom Deliverable means the Work Product that Contractor is required to deliver to the State Entity under this Contract.

  • Returned Goods means all right, title and interest in and to returned, repossessed or foreclosed goods and/or merchandise the sale of which gave rise to a Receivable; provided that such goods shall no longer constitute Returned Goods after a Deemed Collection has been deposited in a Collection Account with respect to the full Outstanding Balance of the related Receivables.
