Customer Consents definition

Customer Consents means all licenses, consents, permits, approvals and authorizations that are necessary to allow Vendor and Vendor Agents to use (1) Customer’s owned assets and (2) the services provided for the benefit of Customer under Customer’s third party services contracts.
Customer Consents means all licenses, consents, permits, approvals, authorizations and fee arrangements that are necessary to allow (1) Supplier to use (a) any assets owned or leased by Customer, including the Customer Hardware, (b) the services provided for the benefit of Customer under Customer's third party services contracts and (c) the Customer Software, in each case, as necessary to provide the Services and (2) (a) the Assigned Agreements to be assigned to Supplier and (b) Supplier to (i) manage, administer and maintain or (ii) accept assignment or novate, in each case, the Customer Third Party Contracts pursuant to Section 3.03.
Customer Consents means the written consents by AEO and Target to the Transactions in a form reasonably satisfactory to the Seller and Buyer.

Examples of Customer Consents in a sentence

  • From the date hereof until the Closing Date, and subject to the provisions of Section 2.08 hereof, Seller shall use its commercially reasonable efforts to give all notices to, and obtain all consents from, all third parties under any Required Consents, Ticketing Customer Consents and any other third parties that are described in Section 4.03 of the Disclosure Schedule.

  • Seller and Buyer must have also received the Customer Consents from Seller’s two (2) largest customers identified on Schedule 6.19.

  • Customer shall, at its cost and expense, obtain and maintain the Customer Consents.

Customer Data means: (i) all data and information generated, provided or submitted by, or caused to be generated, provided or submitted by, Customer Group in connection with the Services; (ii) all data and information regarding the business and customers and potential customers of Customer Group collected, received, accessed, generated or submitted by, or caused to be collected, received, accessed, generated or submitted by, Provider and/or Provider Agents; (iii) all data and information regarding Authorized Recipients (or their customers) collected, received, accessed, generated or submitted by, or caused to be collected, received, accessed, generated or submitted by, Provider and/or Provider Agents; (iv) all such data and information Processed or stored, and/or then provided to or for Customer Group, as part of the Services, including data contained in forms, reports and other similar documents provided by Provider as part of the Services; and (v) Personally Identifiable Information.
Customer Consents means all licenses, consents, permits, approvals and authorizations that are necessary to allow Supplier (and Supplier Agents) to use, to the extent required to provide the Services (a) Customer's owned and leased assets; (b) the services provided for the benefit of Customer under Customer's third party services contracts; and (c) the Customer Software and Customer Work Product in accordance with Article 8.
