Customer Materials definition

Customer Materials any materials, data, information, software, equipment or other resources owned by or licensed to You and made available to Us pursuant to facilitating Your use of the Services, including Customer Data.

Customer Materials means all materials that you provide or post, upload, input or submit for public display through the Subscription Service.

Examples of Customer Materials in a sentence

• Customer will defend RelationalAI against any claim by a third party arising from or relating to any Customer Data, Customer Materials or any Customer-offered product or service used in connection with the Service and will indemnify and hold harmless RelationalAI from and against any damages and costs awarded against RelationalAI or agreed in settlement by Customer (including reasonable attorneys’ fees) resulting from such claim.

• Customer will defend First AML from and against any third-party claim to the extent resulting from Customer Data, Customer Materials or Customer’s breach or alleged breach of Section 5 (Customer Obligations), and will indemnify and hold harmless First AML against any damages or costs awarded against First AML (including reasonable attorneys’ fees) or agreed in settlement by Customer resulting from the claim.

• Customer will give First AML timely access to Customer Materials reasonably needed for the Technical Services, and if Customer fails to do so, First AML’s obligation to provide Technical Services will be excused until access is provided.

• First AML will use Customer Materials only for purposes of providing Technical Services.

• Except for First AML’s use rights in this Agreement, between the parties Customer retains all intellectual property and other rights in Customer Data and Customer Materials provided to First AML.

More Definitions of Customer Materials

Customer Materials means all materials, equipment and tools, drawings, specifications and data supplied by the Customer to the Council;

Customer Materials means any data or materials, provided by Customer, that are used in connection with the Software or Service Deliverables, such as technical information and functional specifications, user data, logos, photographs, compilations of facts, artwork, animations, video or audio files, or source materials for any of the foregoing.

Customer Materials means any Raw Materials, components of Product, or other materials of any nature provided by Customer.

Customer Materials means all works and materials (a) uploaded to, stored on, processed using or transmitted via the System, by or on behalf of Customer or by any person or application or automated system using Customer's account; or (b) otherwise provided by Customer to Fresh Relevance in connection with this Agreement.

Customer Materials means all software, data, information contained in documentation, and other information and intangibles used by Customer to operate, install, and/or maintain Customer’s Business through the Customer Equipment or provided to Lessor by Customer for such purposes or otherwise pursuant to this Agreement. As between Lessor and Customer, the parties acknowledge and agree that all Customer Materials are owned by Customer.

Customer Materials means any materials, information or services provided by, used by or necessary for Customer or End Users to access or use the Voice Dialer, including without limitation, any hardware, software, databases, tools, methods, designs, specifications, configurations, and data.

Customer Materials means the Materials supplied by Customer to LB (if any) and identified as such by Schedule 1 hereto.
