For avoidance of doubt, each Customer, Portfolio or the Bank may terminate this Agreement pursuant to its provisions and the Agreement shall survive such termination in respect of the remaining Customers and Portfolios that have not so terminated or been terminated.
The Supplier shall provide a suitably qualified nominated contact (“Framework Manager”) who shall: be exclusively available to the Authority and the Customer Portfolio; and have overall responsibility for the management of this Framework Agreement on behalf of the Supplier, and be suitably skilled and experienced, and have an appropriate level of seniority within the Supplier’s organisation, to carry out these roles.
The Customer Service Team shall be a team exclusively available to the Authority and the Customers which shall facilitate the administration and management of the provision of the Services and Ancillary Services by the Supplier to the Customer Portfolio.
The Supplier shall ensure that the Customer Service Team has sufficient resources (including in terms of manpower, facilities and other resources) by reference to the size of the Customer Portfolio to enable it to perform its functions in an efficient, effective and timely manner.
In purchasing Gas Products and pricing and invoicing such products for the Customer Portfolio, the Supplier shall ensure that: a Customer does not give any cross-subsidy to or receive any cross-subsidy from another Customer except as otherwise provided in this Schedule 3; and unless notified by the Authority to the Supplier, any Supply Point of a Customer does not give any cross-subsidy to or receive any cross-subsidy from another Supply Point of that Customer.
