Except as otherwise agreed in the Customer Terms and Conditions, any supply agreement, any order, or other agreement between the parties with respect to the supply of Products by Zeus to Customer, Products are provided to Customer Ex Works (as defined in Incoterms 2010) at the applicable Zeus facility.
In addition to audit rights stipulated in the Agreement, Customer shall at all times maintain records identifying: the identity and location of all entities currently using Embedded Software Products, including any contractors, the number of units distributed by Customer; or, a description of the Customer Product(s), Processors, ECU, Brand or Platform for which the Embedded Software Products are being used.

Customer shall submit its Customer Products containing Software, End User Documentation or other materials licensed hereunder to Sun for approval pursuant to this Section 2.5 ("Trademarks, Logos and Product Designs; Proprietary Notices") prior to distribution, which approval shall not be unreasonably withheld or delayed.
All modifications, adaptations and derivative works of the Customer Products (“Product Modifications”), made by either Party or the two Parties jointly, including all intellectual property rights therein, shall be owned by Customer.
