In addition to any Commitment reductions pursuant to Section 5.01(a) or the preceding paragraphs (i) and (ii), if, on the date which is six months after the Agreement Date (the "Existing Debt Reduction Date"), the long-term senior unsecured debt of the Company has an S&P Rating lower than BBB- and a ▇▇▇▇▇'▇ Rating lower than Baa3, the Commitments shall be reduced permanently by an amount equal to the Existing Debt Reduction Amount.
