There are no outstanding or authorized options, warrants, purchase rights, subscription rights, conversion rights (other than as contained in the Debt Restructuring Agreements), exchange rights, or other contracts or commitments that could require the Company to issue, sell, or otherwise cause to become outstanding any of its charter capital.
Each of the Group Companies party to the Category Four Loan Agreements shall have entered into definitive binding agreements with the Category Four Lenders to amend the Category Four Loan Agreements (the “Binding Debt Restructuring Documents”) which may include the conversion of a portion of the Company’s debt into Ordinary Shares (the “Debt Conversion”), and shall include the terms set forth in Schedule 5.7 attached hereto (the “Debt Restructuring”).
The Borrower and the Lender entered into a Debt Restructuring Agreement dated May 9, 2024 (the “Restructuring Agreement”) pursuant to which the Parties agreed to restructure indebtedness owed by the Borrower to the Lender.
The debt restructuring substantially in accordance with Exhibit H attached hereto (the “Debt Restructuring”) shall occur substantially simultaneously with the Closing and PRISA shall not be in Default under any definitive documentation providing for the Debt Restructuring (as the term “Default” is defined in such documentation).
Except for the Debt Restructuring Agreements, neither the Seller nor its Affiliates has been involved in any business arrangement or relationship with the Company within the past twelve (12) months, and neither the Seller nor its Affiliates own any asset, tangible or intangible, which is used in the Business of the Company.
