Deed of Transfer definition

Deed of Transfer means the notarial deed of transfer for the Shares, substantially in the form as attached hereto as Schedule 3;

  • If such agreement is reached and the outcome of the agreement is that the Net Cash Position as notified by the Seller needs to be reduced, the Purchase Price shall be reduced accordingly on a euro-for-euro basis for the amount that the Net Cash Position shall be less than the Minimum Cash Level and the Purchase Price in such reduced amount shall be the Purchase Price for purposes of this Agreement and the Deed of Transfer.

  • If such accountants firm determines that the Purchase Price as notified by the Seller needs to be reduced, such reduced amount shall be the Purchase Price for purposes of this Agreement and the Deed of Transfer.
