Deeds of Covenant definition

Deeds of Covenant means any or all of them;
Deeds of Covenant means either or both of them;
Deeds of Covenant means, where appropriate, the deeds of covenant collateral to the Mortgages executed or (as the context may require) to be executed by the Owners in favour of the Agent as security agent and trustee on behalf of the Finance Parties in the agreed form and “Deed of Covenant” means any of them;

  • The Fiscal Agent or, with respect to Dematerialised Instruments, the Italian Paying Agent acknowledges that a duly executed original of each Deed of Covenant and Deed of Guarantee have been deposited with and are held by it to the exclusion of the relevant Issuer and, where applicable, the Guarantor and that each Accountholder (as defined in the Deeds of Covenant) is entitled to production of such originals.


More Definitions of Deeds of Covenant

Deeds of Covenant means the two deeds of covenant each dated 16 March 2017, each amended and restated on 24 May 2018 and each further amended and restated on 24 May 2019 executed by Mediobanca International and Mediobanca, and each of such Deeds of Covenant, a “Deed of Covenant”;
Deeds of Covenant means all of such deeds of covenant;
Deeds of Covenant means (a) the deed of covenant dated July 16, 2024, executed as a deed by the Issuer in favour of certain accountholders with Clearstream, Luxembourg, Euroclear, the CMU or any agreed clearing system in relation to Senior Notes governed by English law issued on a non-syndicated basis; (b) the deed of covenant dated July 17, 2020, executed as a deed by the Issuer in favour of certain accountholders with Clearstream, Luxembourg, Euroclear or any agreed clearing system in relation to W&C Securities governed by English law; (c) the deed of covenant dated July 17, 2020, executed as a deed by the Issuer in favour of holders of Norwegian Notes governed by English law; (d) the deed of covenant dated July 17, 2020, executed as a deed by the Issuer in favour of holders of Norwegian W&C Securities governed by English law; (e) the deed of covenant dated July 17, 2020, executed as a deed by the Issuer in favour of holders of Norwegian Notes governed by Ontario law; and (f) the deed of covenant dated July 17, 2020, executed as a deed by the Issuer in favour of holders of Norwegian W&C Securities governed by Ontario law, and “Deed of Covenant” means any of them or in each case, if a prior issue and paying agency agreement applied to the relevant Securities and a previous deed of covenant thereto was applicable as of the date of such prior issue and paying agreement, such previous deed of covenant;
Deeds of Covenant means the deeds of covenant to be entered into by the First Buyer in the agreed forms at Appendix 8.

Deeds of Covenant means the two deeds of covenant each dated 10 March 1993 and each executed by an Issuer, as the same may be amended or supplemented from time to time and includes, where the context so admits, any deed of covenant executed by a New Issuer and “Deed of Covenant” means in relation to any Issuer, the Deed of Covenant executed and delivered by it;
Deeds of Covenant means, in relation to each Ship, a second priority deed of covenant collateral to the Mortgage on that Ship executed by the relevant Ship Owning Borrower in favour of the Lender in form satisfactory to the Lender.
