The Borrower (i) fails to pay an Amortization Payment (as defined in this Note) when due as provided in Section 4.16 of this Note, and (ii) number of shares of Common Stock remaining under the Exchange Cap as allocated to the Buyer is less than the Amortization Default Threshold (as defined in this Note) as calculated on the date of the respective Amortization Payment.
So long as Tenant is not then in an Event of Default hereunder in excess of the Default Threshold, Tenant shall have the right to notify Landlord of Tenant’s desire to lease specified vacant space in the Building at any time.
