The Insureds agree not to admit any liability for any Claim, offer to settle or settle any Claim, incur any Defense Expenses or otherwise assume any contractual obligation, without the Underwriter’s prior written consent, such consent shall not be unreasonably withheld.
Coverage as provided herein shall not include Investigation Costs or Defense Expenses incurred in connection with an Inquiry or any investigation of an Insured.
As a condition of any payment of Defense Expenses before the final disposition of a Claim, the Underwriter may require a written undertaking on terms and conditions satisfactory to the Underwriter guaranteeing the repayment of any Defense Expenses paid to or on behalf of any Insured if it is finally determined that any such Claim or portion of any Claim is not covered under this Coverage Section.
At the written request of the Insured, the Underwriter shall advance Defense Expenses (except Pre- Claim Expenses), excess of any applicable Retention, on a current basis, but no later than sixty (60) days after receipt of invoices or bills and all other information requested by the Underwriter.
The Insurer shall not be liable for any settlement, Defense Expenses, assumed obligation or admission to which it has not consented.
