Defense Expenses means reasonable costs, charges, fees (including but not limited to attorneys’ fees and experts’ fees) and expenses incurred in defending any Claim and the premium for appeal, attachment or similar bonds. • The Insureds agree not to admit any liability for any Claim, offer to settle or settle any Claim, incur any Defense Expenses or otherwise assume any contractual obligation, without the Underwriter’s prior written consent, such consent shall not be unreasonably withheld.

• The Insurer shall not be liable for any settlement, Defense Expenses, assumed obligation or admission to which it has not consented.
