Deliverable Shares definition

Deliverable Shares means, in respect of an Exchangeable Bond, such number of Ordinary Shares (which shall not exceed the number of Redemption Shares) as is equal to the product (rounded down if necessary to the nearest whole multiple of an Ordinary Share) of (i) the Redemption Shares and (ii) the Relevant Percentage.
Deliverable Shares has the meaning specified in the definition of Daily Settlement Amount.
Deliverable Shares means the Ordinary Shares (excluding for the avoidance of doubt any fraction of an Ordinary Share) not exceeding the relevant number of Reference Shares that the Issuer has elected to deliver to the relevant Noteholder upon exercise by that Noteholder of Conversion Rights.

  • The Maximum Deliverable Shares shall be delivered immediately to the Holder and shall carry piggyback registration rights.

  • Deliverable Shares delivered to a Holder shall not contain any restrictive legend as long as the resale of such Deliverable Shares (x) has been or will be made (as certified in writing by such Holder to the Company) pursuant to an effective registration statement, (y) has been made pursuant to Rule 144 under the Securities Act, or (z) may be made pursuant to Rule 144(k) under the Securities Act or any successor rule or provision.

  • The Company or its designated transfer agent (the “Transfer Agent”) shall effect all deliveries of Deliverable Shares required to be delivered to a Holder by issuing and delivering such Deliverable Shares to the Depository Trust Company (“DTC”) account on such Holder’s behalf via the Deposit Withdrawal Agent Commission System (“DWAC”).

Deliverable Shares. Attached as Exhibit A is a list of new shareholders ("Purchasers") of the Company who will be issued shares of common stock of the Company, including shareholder name, address, and the number of deliverable shares of the Company. The date of issuance will be January 14, 2002, and the share certificates will bear the legends as described below.
