Contractor will not be paid for any rejected Services or Deliverables.
Notwithstanding the terms of this Appendix B, and without limiting the rights of the JBE under the Agreement, the JBE shall have the right at the time of Acceptance, with respect to those Deliverables in each Statement of Work, on a Statement of Work-by-Statement of Work basis, to withhold fifteen percent (15%) from the amounts to be paid by the JBE to Contractor therefor, until Acceptance of the final Deliverable under such Statement of Work.
Deliverables shall be submitted in PDF and native (editable) format, including Word documents, Excel spreadsheets, PowerPoint files, Autodesk files, etc.
Subject to the Agency receiving payment of all Remuneration and other sums payable to it under this Agreement, the Agency hereby grants the Client a non-exclusive, non-transferable, royalty-free licence to use the Agency Materials solely to the extent the Agency Materials are incorporated in the Deliverables (and not independently of the Deliverables) to the extent necessary for Client to use the Deliverables as set out in the applicable Scope of Work and/or as otherwise agreed between the parties.
Deliverables prepared by Consultant, notwithstanding acceptance and approval by Valley Water, which Valley Water determines must subsequently be modified due to errors or omissions, will be corrected at no additional cost to Valley Water.
