The Seller will draw up a Sale Offer, which shall establish the terms of the Delivery Port or other location (only if admitted by the applicable Law) and the Delivery Window on which it is willing to provide the supply requested.
Where such option is available at the Delivery Port, deliveries hereunder shall be made in accordance with instructions given by the Customer or its accredited representative or the Master of the vessel if agreed before commencement of delivery by Viva Energy.
Buyer shall use calibrated and proved meters to measure quantities delivered out of truck and railcars, or if such meters are not available, shall use the following (in order of preference): scales located at or near the delivery point, manual railcar measurements, or shore tanks located at or near the Delivery Port.
The Buyer shall, in any event, be solely responsible for ascertaining, acquainting, itself and complying with inter alia, such regulations, requirements and procedures which are applicable at the Delivery Port and in complying with all relevant berth restrictions and requirements.
Seller shall provide the following documents to Buyer: i) Seller’s commercial invoice (e-mail or fax format acceptable); ii) copies of the certificate of quantity and quality at Delivery Port; iii) a copy of the certificate of origin; iv) a non-negotiable Conhecimento de Transporte Aquaviário xx Xxxxxx (“CTAC”) and v) two (2) original clean-on-board marine bills of lading issued or endorsed to the order of Buyer; and master’s receipt for one (1) of three (3) original clean-on-board marine xxxx of lading.
