Demand Holders definition

Demand Holders has the meaning set forth in Section 2.01(a).
Demand Holders means any of Company Shareholder (on behalf of itself and its Direct Permitted Transferees), RM (on behalf of himself, itself and his or its Direct Permitted Transferees), a QI Demand Holder (on behalf of itself and its Direct Permitted Transferees), CSFB (on behalf of itself and its Direct Permitted Transferees and other Transferees to the extent permitted by Section 5.02(g)) or Sponsor (on behalf of itself and its Direct Permitted Transferees).
Demand Holders means one or more Holders who (together with their Affiliates) collectively beneficially own, in the aggregate, at least 25% of the then-outstanding Registrable Securities.

Examples of Demand Holders in a sentence

  • The Demand Registration rights offered to the Demand Holders pursuant to this Section 2.02 are only assignable to a Permitted Transferee of the Demand Holders, and any such assignment must be effected in the manner set forth in Section 3.05.

  • In connection with a Demand Registration by more than one Demand Holder or by a Demand Holder and Incidental Demand Holders, the Demand Holder holding the highest amount of Registrable Securities to be included in such Demand Registration shall be referred to as the “Controlling Holder” in connection with such Demand Registration.

Demand Holders means each of (i) Holdco, (ii) M&J K B (on behalf of itself or one or more members of its Family Group), (iii) ▇▇-▇▇ (on behalf of itself or one or more members of its Family Group), (iv) DW Lips (on behalf of itself or one or more members of its Family Group), (v) DWI II and (vi) Universal.
Demand Holders means ControlCo and any Limited Partner, or any Permitted Transferee thereof that acquires Registrable Securities then held, directly or indirectly, by such Demand Holder.
Demand Holders means Time Warner and Sony.
Demand Holders means, as applicable individually or collectively, if the context so requires, the Apax Investor and the Accenture Investors, each of which owns one or more Entitled Common Shares from time to time.
Demand Holders means, (i) with respect to a registration requested pursuant to Section 4(a), the SCANA Demand Holders and the Remaining SCANA Holders, (ii) with respect to a registration requested pursuant to Section 4(b), the Other Demand Holders and the Remaining Other Demand Holders and (iii) with respect to a registration requested pursuant to Section 4(c), the Shelf Demand Holders and the Remaining Shelf Holders.

Demand Holders means the Cerberus Entities, the Colony Financial Entities, the Kimco Entities, the ▇▇▇▇▇ Entities, the ▇▇▇▇▇▇-▇▇▇▇▇ Entities and the Schottenstein Entities.
