Derivative Information definition

Derivative Information is as defined in Section 20.1.1(b).

Derivative Information means all copies, digests, summaries of Information, as well as feedback, suggestions, improvements or other QuadraMed Creations (as defined in Section 3.1) derived from the Information.

Derivative Information means all Information created by a Party, any member of such Party's Group or any of its or their respective Representatives, or on its or their behalf, to the extent containing or reflecting or generated from the Other Party's Confidential Information;

• Notwithstanding the foregoing, Employee shall be entitled to retain Employee’s files or Rolodex containing names, addresses and telephone numbers and personal diaries and calendars; provided, however, that Employee shall continue to be bound by the terms of Section 2.3 above to the extent that such retained materials constitute Confidential Information, Derivative Information, Developments or QuadraMed Creations.

• All Confidential Information, including without limitation, all Derivative Information and QuadraMed Creations, are and shall continue to be the exclusive property of QuadraMed.

• Prospective Purchaser’s return and/or destruction of the Derivative Information shall be confirmed by Prospective Purchaser in writing to Agent.

• Any Confidential Information or Derivative Information not returned by Prospective Purchaser to Agent, or not destroyed by Prospective Purchaser to the extent permitted under this section, shall remain subject to this Agreement.

• To the extent that the Restricted Party has control to direct the actions of a Restricted Party Group, the Restricted Party will direct the Restricted Party Group to not use or disclose any Confidential Information or Derivative Information.

More Definitions of Derivative Information

Derivative Information means any notes, summaries, evaluations, analyses and other material derived by the Restricted Group from any of the Confidential Information;

Derivative Information means any notes, summaries, evaluations, analyses and other material derived by the Restricted Party Group from any of the Confidential Information;

Derivative Information is as defined in Article XX, Section 20.1.1(b).

Derivative Information means information, data or know-how (unless and until such information, data or know-how is part of the public domain) that (a) is generated while performing work on a product in the Field covered by a Valid Patent Claim of the Licensed Patents or (b) arises out of the use of or reference to ALZA Know-How or ALZA Confidential Information.

Derivative Information means information extracted from a Document filed on behalf of another person or company.

Derivative Information means any notes, summaries, evaluations, analyses and other material derived by Xx. Xxxxx from any of the Confidential Information.

Derivative Information has the meaning given in clause 2.
