Any such prospectus in connection with a Derivative Transaction shall permit a Derivative Counterparty to sell shares of the Registrable Securities covered by such prospectus and the applicable prospectus supplement, including in short sale transactions in compliance with applicable law (whether Common Stock is borrowed from such Holder or otherwise).
If in connection with a Derivative Transaction, a Derivative Counterparty or any affiliate thereof is (or may reasonably be considered) an underwriter or selling stockholder, then such Derivative Counterparty shall be required to furnish to the Company such information as the Company may reasonably request for inclusion in the Registration Statement/prospectus and provide customary indemnities to the Company regarding the plan of distribution and related matters.
