Developer Affiliate definition

Developer Affiliate means any corporation, limited liability company, partnership or other entity which controls, is controlled by, or is under common control with Developer, and “control,” for purposes of this definition, means effective management and control of the other entity, subject only to major events requiring the consent or approval of the other owners of such entity, as shown by copies of relevant portions of organizational documents of such entity and Developer.

More Definitions of Developer Affiliate

Developer Affiliate means an entity controlled by, or under common control with, Developer, such that it has the same manager(s), members, partners or shareholders who shall own in aggregate more than fifty percent (50%) of the ownership interests in the Developer and also own more than fifty percent (50%) of the ownership interests in said Affiliate. As used herein, "control" shall mean the possession, direct or indirect, of the power to direct or cause the direction of the management and policies of a person or entity, whether through the ownership of voting securities or rights, by contract, or otherwise.

Developer Affiliate means any other Person who, directly or indirectly through one or 270 more intermediaries, Controls, or is Controlled by, or is under common Control with, the 271 Developer, including, without limitation, any fund, partnership, company, syndicate, separate 272 account or other collective investment scheme now or hereafter existing that is managed, advised 273 or controlled by any Developer Affiliate. For the purposes of this definition, “Control” of any 274 Person (including the terms “Controlled by” and “under common Control with”) means the 275 possession, directly or indirectly, of the power to direct or cause the direction of the management 276 and policies of such Person, whether through ownership of voting securities, by contract, or 277 otherwise.

Developer Affiliate shall have the meaning set forth in Section 303(2)(a) BB. (§228) Developer Closing Condition(s).

Developer Affiliate shall further mean:

Developer Affiliate means: (i) any entity that owns or controls Developer; (ii) any entity owned or controlled by Developer; (iii) any entity owned or controlled by or affiliated with any entity that owns or controls Developer; (iv) any entity resulting from a consolidation for which Developer is a party; (v) the surviving entity in case of a merger for which Developer is a party; or (vi) any entity to which all or substantially all of the assets of Developer have been sold. As used in this definition, the term “control,” “controlling,” or “controlled by” shall mean the possession, directly or indirectly, of the power either to (i) vote fifty percent (50%) or more of the securities or interests having ordinary voting power for the election of directors (or other comparable controlling body) of DEVELOPER or (ii) direct or cause the direction of management or policies of DEVELOPER, whether through the ownership of voting securities or interests, by contract or otherwise, excluding in each case, any lender of DEVELOPER or any Affiliate of such lender.
