Developer Affiliate definition

Developer Affiliate means any corporation, limited liability company, partnership or other entity which controls, is controlled by, or is under common control with Developer, and “control,” for purposes of this definition, means effective management and control of the other entity, subject only to major events requiring the consent or approval of the other owners of such entity, as shown by copies of relevant portions of organizational documents of such entity and Developer.

Developer Affiliate means a third party whose relationship with the Developer falls within limb (b) of the definition of Developer Party; Developer Board Minutes means a certified copy of a signed resolution of the board of the Developer dated prior to the date of this Agreement in the form set out in Schedule 11 (Developer Board Minutes) together with an officer's certificate in the form set out in Schedule 12 (Developer's Officer's Certificate) and dated on the date of this Agreement;

Developer Affiliate means any subsidiary or holding company of the Developer or any subsidiary to any such holding company as "subsidiary" and "holding company" are defined in Section 1159 Companies Xxx 0000; Development Agreement means an agreement between the Developer and the Grant Recipient of the type contemplated in limb (a) of the definition of "Developer";

• A Special Purpose Entity shall be considered a Developer Affiliate.

• Developer hereby indemnifies Owner against all liabilities and expenses (including, without limitation, attorneys’ fees and costs), in connection with any claims for commission, fee, compensation, or otherwise, for the bringing about of this transaction, or the consummation hereof, which may be made against Owner, as a result of any acts of Developer or any Developer Affiliate.

More Definitions of Developer Affiliate

Developer Affiliate means an entity controlled by, or under common control with, Developer, such that it has the same manager(s), members, partners or shareholders who shall own in aggregate more than fifty percent (50%) of the ownership interests in the Developer and also own more than fifty percent (50%) of the ownership interests in said Affiliate. As used herein, "control" shall mean the possession, direct or indirect, of the power to direct or cause the direction of the management and policies of a person or entity, whether through the ownership of voting securities or rights, by contract, or otherwise.

Developer Affiliate means an entity that controls, is controlled by, or is under common control with the Developer.

Developer Affiliate means any Person that is Controlled by Jamboree. “Developer Closing Conditions” shall have the meaning set forth in Section 7.2.1. “Developer Closing Payment” shall have the meaning set forth in Section 4.3.3.

For the purposes of this definition, “Control” of any 274 Person (including the terms “Controlled by” and “under common Control with”) means the 275 possession, directly or indirectly, of the power to direct or cause the direction of the management 276 and policies of such Person, whether through ownership of voting securities, by contract, or 277 otherwise.

Developer Affiliate means a legal entity whose finances and management are controlled, directly or indirectly, by the direct or indirect owners of Developer, as shown by reasonable evidence delivered to City.
