Developer Affiliate means any corporation, limited liability company, partnership or other entity which controls, is controlled by, or is under common control with Developer, and “control,” for purposes of this definition, means effective management and control of the other entity, subject only to major events requiring the consent or approval of the other owners of such entity, as shown by copies of relevant portions of organizational documents of such entity and Developer.
Developer Affiliate means a third party whose relationship with the Developer falls within limb (b) of the definition of Developer Party; Developer Board Minutes means a certified copy of a signed resolution of the board of the Developer dated prior to the date of this Agreement in the form set out in Schedule 11 (Developer Board Minutes) together with an officer's certificate in the form set out in Schedule 12 (Developer's Officer's Certificate) and dated on the date of this Agreement;
Developer Affiliate means any subsidiary or holding company of the Developer or any subsidiary to any such holding company as "subsidiary" and "holding company" are defined in Section 1159 Companies Xxx 0000; Development Agreement means an agreement between the Developer and the Grant Recipient of the type contemplated in limb (a) of the definition of "Developer"; Development Costs means the costs relating to Site acquisition and Works in relation to a Named Project incurred or to be incurred by the Grant Recipient in relation to the heads of expenditure set out in Part 1 to Schedule 2 or such other heads of expenditure as the GLA may in its absolute discretion agree in respect of any Named Project provided that any costs falling within the heads of expenditure set out in Part 2 to Schedule 2 shall not be capable of being treated as Development Costs;

Notwithstanding anything contrary, neither Developer, nor any Developer Affiliate, will have any action or claim against the City for any payment in accordance with this Section 8.27.

More Definitions of Developer Affiliate
Developer Affiliate means an entity controlled by, or under common control with, Developer, such that it has the same manager(s), members, partners or shareholders who shall own in aggregate more than fifty percent (50%) of the ownership interests in the Developer and also own more than fifty percent (50%) of the ownership interests in said Affiliate. As used herein, "control" shall mean the possession, direct or indirect, of the power to direct or cause the direction of the management and policies of a person or entity, whether through the ownership of voting securities or rights, by contract, or otherwise.
Developer Affiliate means a legal entity whose finances and management are controlled, directly or indirectly, by the direct or indirect owners of Developer, as shown by reasonable evidence delivered to City.
Developer Affiliate means any other Person directly or indirectly controlling, directly or indirectly controlled by or under direct or indirect common control with DEVELOPER. As used in this definition, the term “control,” “controlling,” or “controlled by” shall mean the possession, directly or indirectly, of the power either to (i) vote fifty percent (50%) or more of the securities or interests having ordinary voting power for the election of directors (or other comparable controlling body) of DEVELOPER or (ii) direct or cause the direction of management or policies of DEVELOPER, whether through the ownership of voting securities or interests, by contract or otherwise, excluding in each case, any lender of DEVELOPER or any Affiliate of such lender.
Developer Affiliate means any member of the DEVELOPER and any person or entity which, directly or indirectly through one (1) or more intermediaries, controls or is controlled by or is under common control with the DEVELOPER or any member of DEVELOPER. For the purposes of this definition, “Control” of any 274 Person (including the terms “Controlled by” and “under common Control with”) means the 275 possession, directly or indirectly, of the power to direct or cause the direction of the management 276 and policies of such Person, whether through ownership of voting securities, by contract, or 277 otherwise.
Developer Affiliate means any Person that is Controlled by Jamboree. “Developer Closing Conditions” shall have the meaning set forth in Section 7.2.1. “Developer Closing Payment” shall have the meaning set forth in Section 4.3.3.
Developer Affiliate means for each Phase, a limited partnership in which the managing general partner is a limited liability company in which (1) MidPen Housing Corporation or an affiliate in which MidPen Housing Corporation has a Controlling Interest is a member/manager and (2) one or more of the other Collaborating Partners or an affiliate in which the Collaborating Partner has a Controlling Interest is also a member/manager.
