Developing Party shall have the meaning set forth in Section 3.7.1(i).

Developing Party means the Party conducting or proposing to conduct the applicable clinical study itself or through its Affiliates, Sublicensees or Third Parties.

• Notwithstanding the foregoing, the non-Developing Party may elect not to include such New Product as a "Product" covered by this Agreement by notifying the Developing Party in writing within sixty (60) days after the non-Developing Party's receipt of the New Product Notice.

• If a New Product becomes a "Product" covered by this Agreement in accordance with this Section, the Developing Party shall, for no additional consideration, grant to the non-Developing Party such licenses and other rights, if any, as may be necessary for the non-Developing Party to perform its obligations under this Agreement with respect to such New Product, effective as of the date on which such New Product becomes a "Product" covered by this Agreement.

• The Chairperson of the Joint Development Committee (the “JDC Chairperson”) shall be Acceleron’s representative until Celgene is the Developing Party of a Licensed Product pursuant to this Agreement, at which time Celgene’s representative shall become the JDC Chairperson.

• If Celgene is a Developing Party, the terms of supply of Clinical Supplies to Celgene pursuant to this Section are set forth in Exhibit A, or as otherwise may be agreed to by the Parties.

More Definitions of Developing Party

Developing Party means, with respect to any Licensed Product or Licensed Compound, the Party conducting Development activities with respect to such Licensed Compound or Licensed Product pursuant to Section 2.1. The Parties acknowledge that each Party could simultaneously be a Developing Party for a particular Licensed Compound or Licensed Product.

Developing Party shall have the meaning given to such term in Section 3.10.3.

Developing Party shall have the meaning set forth in Section 2.5.2(a).

Developing Party means, as to each Product, Chiron or Ciba or Chiron and Ciba jointly. As to Products which contain a Ciba/Chiron Compound provided by only one party, such party shall be the Developing Party. As to all other Products, Chiron and Ciba shall determine and shall notify Focal in writing prior to the commencement of any Research with respect to such Product of the identity of the Developing Party for such Product. Unless Focal is otherwise notified in writing, the Developing Party of the First Generation Products shall be Chiron and Ciba jointly.

Developing Party means the Party whom the Research Management Committee designates to develop a Research Compound into a Product as provided in Section 5.2.

Developing Party has the meaning set forth in Section 11.2.2(d).

Developing Party shall have the meaning given in Section 4.3.2 of this Agreement.
