Diligence Matters definition

Diligence Matters is defined in Article 5.
Diligence Matters shall have the meaning assigned thereto in Section 7.2(a).

Examples of Diligence Matters in a sentence

  • In no event shall Lessor have any responsibility for or liability with respect to the Due Diligence Matters, all of which are hereby waived by Lessee.

  • The Company shall have cured all Open Diligence Matters to the reasonable satisfaction of Purchaser.

  • Seller shall have up to Closing to remove or otherwise remedy the Approved Due Diligence Matters set forth therein, and the Closing Date shall be extended, at Seller’s option, for up to thirty (30) days to allow Seller to cure the Approved Due Diligence Matters.

  • The Contributee may object to any Additional Due Diligence Matters, or the Contributors’ resolution of any Additional Title Matters or Additional Due Diligence Matters, by written notice dated no later than seven days after the date of delivery or resolution of such matter.

  • Bidders at their own expense shall investigate and determine the suitability of the Property and the Due Diligence Matters for the bidder's use for the Property.

  • In the event Buyer determines, prior to closing, that the there is any defect in any of the Due Diligence Matters that would interfere with the ability of the Buyer to develop the Project in accordance with the Seller’s representations, or prevent the funding of financing pursuant to the mortgage commitment to be obtained by Buyer as contemplated above, then Buyer may terminate the Contract or give the Seller additional time to cure the defects prior to closing.

  • Pursuant to Section 2 of the Third Amendment, the Due Diligence Period is set to expire on 5:00 p.m (Pacific Time) on February 14, 2020 with regard to the Modified Extended Diligence Matters.

Related to Diligence Matters

  • Due Diligence Materials means the information to be provided by Seller to Purchaser pursuant to the provisions of Section 4.1 hereof.

  • Due Diligence Information means any information supplied to the Supplier by or on behalf of the Customer prior to the Call Off Commencement Date;

  • Due Diligence Request means the due diligence request letter from Xxxxxxx and Xxxxxx LLP, counsel to the Purchaser, dated March 6, 2024.

  • Environmental Reports means each and every “Phase I Environmental Site Assessment” (and, if applicable, “Phase II Environment Site Assessment”) as referred to in the ASTM Standards on Environmental Site Assessments for Commercial Real Estate, E 1527-2000 and an asbestos survey, with respect to each Mortgaged Property, prepared by one or more Environmental Auditors and delivered to Lender and any amendments or supplements thereto delivered to Lender.

  • Due Diligence Examination shall have the meaning set forth in Section 3.2.

  • Seller’s Closing Documents as defined in Section 3.2(a).

  • Environmental Consultant has the meaning set forth in Section 5.17(a).

  • Seller’s Representatives means Seller’s accountants, employees, counsel, environmental consultants, financial advisors, and other representatives.

  • Due Diligence Review means the performance by Buyer of any or all of the reviews permitted under Section 44 hereof with respect to any or all of the Loans or Seller or related parties, as desired by Buyer from time to time.

  • Seller's Closing Certificate means the certificate of Seller in the form of Exhibit C attached hereto.

  • Acquisition Agreement Representations means the representations and warranties with respect to the Companies made by the Seller in the Acquisition Agreement to the extent a breach of such representations and warranties is material to the interests of the Lenders, but only to the extent that the Borrower or its Affiliates have the right to terminate its or their obligations under the Acquisition Agreement (or decline to consummate the Rockwood Acquisition) as a result of a breach of such representations in the Acquisition Agreement.

  • Environmental Report The environmental audit report or reports with respect to each Mortgaged Property delivered to the related Mortgage Loan Seller in connection with the origination or acquisition of the related Mortgage Loan.

  • Environmental Conditions means any conditions of the environment, including, without limitation, the work place, the ocean, natural resources (including flora or fauna), soil, surface water, ground water, any actual or potential drinking water supply sources, substrata or the ambient air, relating to or arising out of, or caused by the use, handling, storage, treatment, recycling, generation, transportation, Release or threatened Release or other management or mismanagement of Regulated Substances resulting from the use of, or operations on, the Property.

  • Buyer’s Representatives means Buyer, any direct or indirect owner of any beneficial interest in Buyer, and any officers, directors, employees, agents, representatives and attorneys of Buyer or any such direct or indirect owner of any beneficial interest in Buyer.

  • Property Documents means, collectively, (a) the Leases, (b) the Contracts, and (c) any other documents or instruments which constitute, evidence or create any portion of the Property.

  • Environmental Agreement means the Environmental Indemnification and Release Agreement of even date herewith by and between Borrower and Lender pertaining to the Property, as the same may from time to time be extended, amended, restated or otherwise modified.

  • Seller Representatives has the meaning set forth in Section 5.8(a).

  • Buyer Representatives means the Buyer's accountants, counsel, environmental consultants, financial advisors and other authorized representatives.

  • environmental statement means the document certified as the environmental statement by the Secretary of State for the purposes of the Order;

  • Property Information has the meaning specified in Section 4.03.

  • Environmental Documents means, for any Person: (A) any and all documents received by the Person or its Subsidiaries from the United States Environmental Protection Agency (“EPA”) or any other Governmental Entity concerning the environmental condition of any property owned, leased or operated at any time by the Person or any Subsidiary of the Person, or the effect of the Person’s business operations or the business operations of any Subsidiary of the Person on the environmental condition of such property; (B) any and all documents submitted by the Person or any Subsidiary of the Person during the past five years to the EPA or any state, county or municipal environmental or health agency concerning the environmental condition of any property owned, leased or operated at any time by the Person or any Subsidiary of the Person, or the effect of the Person’s business operations or the business operations of any Subsidiary of the Person on the environmental condition of such property, and (C) any report, study, assessment, audit, or other similar document that addresses any issue of actual or potential noncompliance with, actual or potential liability under or cost arising out of, or actual or potential impact on business in connection with, any Environmental Law or any proposed or anticipated change in or addition to Environmental Law, that may in any way affect the Person or any entity for which it may be liable or any Subsidiary of the Person.

  • Environmental Matter means any past, present or future activity, event or circumstance in respect of the environment, health or safety including the Release of any Hazardous Substance including any substance which is hazardous to Persons, animals, plants, or which has a detrimental effect on the soil, air or water, or the generation, treatment, storage, use, manufacture, holding, collection, processing, treatment, presence, transportation or disposal of any Hazardous Substances.

  • the Environmental Statement means the document certified as the environmental statement by the Secretary of State for the purposes of the Order;

  • Environmental Matters means any matter arising out of or relating to health and safety, or pollution or protection of the environment or workplace, including any of the foregoing relating to the presence, use, production, generation, handling, transport, treatment, storage, disposal, distribution, discharge, release, control or cleanup of any Hazardous Substance.

  • Title Documents shall have the meaning set forth in Section 4.1.

  • Environmental impact statement means a detailed written statement as required by section 102(2)(C) of the Act.
