Diluted Basis definition

Diluted Basis means, with respect to the calculation of the number of shares of Common Stock, (i) all shares of Common Stock outstanding at the time of determination and (ii) all shares of Common Stock issuable upon the exercise, conversion or exchange or any Equity Equivalents; provided, however, that with respect to any options, shares of Common Stock shall only be included in the determination of Diluted Basis to the extent such options are vested.
Diluted Basis means with respect to the calculation of the number of shares of Common Stock, (i) all shares of Common Stock outstanding at the time of determination and (ii) all shares of Common Stock issuable upon the exercise, conversion or exchange of any Option or Convertible Security.
