Diluted Shares definition

Diluted Shares as of a given date shall mean the total diluted weighted-average of common shares of the Company outstanding as of such date.

Diluted Shares means, as of any applicable time, shares of Common Stock issued and outstanding as of such time plus shares of Common Stock issuable upon conversion, redemption, exchange, exercise of or as a dividend declared as of the time of measurement with respect to, any shares of preferred stock, options, warrants, debentures and other securities or any subscription rights.

Diluted Shares means the sum of (i) the aggregate number of shares of New Common Stock issued and outstanding immediately prior to the Effective Time, plus (ii) the aggregate number of shares of New Common Stock into which the shares of New Series A Preferred Stock are convertible immediately prior to the Effective Time, plus (iii) the aggregate number of shares of New Common Stock into which the shares of New Series B Preferred Stock are convertible immediately prior to the Effective Time, plus (iv) the aggregate number of shares of New Common Stock into which the shares of New Series C Preferred Stock are convertible immediately prior to the Effective Time.

Diluted Shares means that number equal to the sum of (A) the number of Company Shares issued and outstanding immediately prior to the Closing Date (regardless of whether such shares are unvested, subject to any right of repurchase, risk of forfeiture or other condition in favor of the Company at such time) plus (B) the number of Company Shares for which the Vested Company Stock Options may be exercised immediately prior to or upon the Closing.
