Director Shares definition

Director Shares means Shares issued under Section 6.
Director Shares means the award of fully-vested Shares to a Director under Section 4.6 as part of the Director’s annual compensation, or under such circumstances as are deemed appropriate by the Board.
Director Shares means, pursuant to Section Thirteen of the Plan, Shares issued to a Director, as payment for serving as a Director.

More Definitions of Director Shares

Director Shares means the Parent Class A Ordinary Shares granted to Jeffrey Schwarz and the Directors as compensation for their service as a director of Parent, which Director Shares are subject to the transfer restrictions as set forth in the Director Agreement entered into by Parent and such Investors.
Director Shares means shares of Common Stock granted to a Director pursuant to an Unrestricted Stock Award for the performance of services as a member of the Board; provided, however, that Director Shares shall not include shares of Common Stock granted to a Director pursuant to an Unrestricted Stock Award (i) on the effective date of his election or appointment to the Board or (ii) at any time during the calendar year in which a Director’s election or appointment to the Board first becomes effective.
Director Shares means shares of Common Stock granted to a Non-Employee Director, which shall be subject to such terms and conditions as are set forth in Section 6 below.
Director Shares means the 25,000 Class B ordinary shares of the Company held by each of the Director Holders immediately prior to the consummation of the transactions contemplated by the Business Combination Agreement and, for the avoidance of doubt, the shares of the Company’s Common Stock received by such Director Holders in exchange for such Class B ordinary shares.
