Disclosure Materials definition

Disclosure Materials has the meaning set forth in Section 3.1(h).

Disclosure Materials means, collectively, the SEC Documents, the disclosure package delivered to the Purchaser in connection with the offering by the Company of the Shares and the Schedules to this Agreement furnished by or on behalf of the Company pursuant to Section 3.1.

Disclosure Materials shall have the meaning ascribed to such term in Section 3.1(h).

Disclosure Materials means, collectively, (i) the Annual Reports on Form 10-K of the Borrower and each of its Existing Utility Subsidiaries for the fiscal year ended December 31, 2015, (ii) the Quarterly Report on Form 10-Q of each of the Borrower and its Existing Utility Subsidiaries for the fiscal quarter ended on March 31, 2016 and (iii) the Current Reports on Form 8-K filed by each of the Borrower and its Existing Utility Subsidiaries, in each case, after March 31, 2016 but prior to the date hereof.

Disclosure Materials means the SEC Reports and the Schedules, considered together.
