Dispute Auditor definition

Dispute Auditor has the meaning set forth in Section 5.10.

  • In connection with the engagement of the Dispute Auditor, each of Seller and Purchaser shall execute such engagement, indemnity and other agreements as the Dispute Auditor shall require as a condition to such engagement.

  • In resolving any disputed item, the Dispute Auditor shall act as an expert and not an arbitrator, and shall resolve only the items set forth in the Adjustment Notice that are still in dispute and may not assign a value to any item greater than the highest value for such item claimed by either Seller or Purchaser or less than the lowest value for such item claimed by either Seller or Purchaser.

  • The costs of the Dispute Auditor shall be borne evenly between Seller and Purchaser.

Dispute Auditor means a qualified independent chartered accountant of not less than 15 years' standing, as the Parties may agree in writing to appoint or, if no such agreement is concluded within seven days after any Party requests such appointment, such independent and adequately experienced and qualified Expert as may be appointed at the request of any Party by the President for the time being of the South African Institute of Chartered Accountants;
