If the Parties are unable to resolve a Disputed Matter in writing using the process described in Section 12.2, then any Disputed Matter (other than a Patent Dispute) shall be resolved exclusively by final and binding arbitration administered by the International Chamber of Commerce (the “ICC”) in accordance with its Rules of Arbitration in effect at the time (the “Rules”), except as modified herein.
