Each Loan Party will not, and will not permit any of its Restricted Subsidiaries to, issue or sell (a) any Preferred Equity or (b) any redeemable common stock or other redeemable common Equity Interests other than (i) common stock or other redeemable common Equity Interests that are redeemable at the sole option of such Loan Party or such Subsidiary, as the case may be and (ii) Preferred Equity that is not a Disqualified Equity Interest.
The Company shall not, and shall cause all of its Subsidiaries not to, create, Incur or assume any Indebtedness or issue any shares of Preferred Stock ranking pari passu with or senior to the Series A Preferred Stock (including by way of issuance of any Disqualified Equity Interest), unless permitted under Section 4.01 of the Series A Certificate of Designation.
In the case of the Excluded Subsidiary, engage in any business activity, own any assets or create, incur, assume or suffer to exist any Indebtedness or issue any Disqualified Equity Interest.
Immediately following the Transactions (a) neither the Borrower nor any of its subsidiaries shall have any Indebtedness or Disqualified Equity Interest outstanding other than as permitted to be outstanding after the Effective Date under Section 6.01 and (b) no Lien shall exist at Springstone except Liens permitted under Section 6.02.
