Distribution of Assets definition

Distribution of Assets means any disbursal, conveyance, loan or transfer of cash, any asset of Borrower, or any other portion of the Mortgaged Property, other than in payment of Reasonable Operating Expenses.
Distribution of Assets means any distribution of assets of the Maker or any of its subsidiaries of any kind or character, whether a payment, purchase or other acquisition or retirement for cash, property, or securities, with respect to the Maker's obligations under this Note.

Distribution of Assets means a voluntary or involuntary liquidation, dissolution or winding-up of the affairs of the Corporation or any other distribution to its shareholders of all or substantially all of the assets of the Corporation, including in connection with and following an Asset Sale;
Distribution of Assets means any distribution of assets of the Company or any of its Subsidiaries of any kind or character, whether (i) a payment, purchase or other acquisition or retirement for cash, property or securities or (ii) by way of cancellation, forgiveness or offset of the Securities against any Indebtedness owed by the Holders to the Company or any of its Subsidiaries or (iii) payable or deliverable by reason of the payment of any other Indebtedness of the Company or any of its Subsidiaries being subordinated to the payment of the Securities and, in any case, shall include any assets of any kind or character received by the Holders in connection with the realization of security, if any, for the Securities.

"EVENT(S) OF DEFAULT" has the meaning specified in Section 4.1.
