Nothing in this Section 2.03(a)(B) shall in any respect limit LBIE’s ability to liquidate, hold, manage and deal with the property from time to time comprising the Underlying Customer Distribution Proceeds, provided always that the Proceeds of any such liquidation, holding, management or dealing shall themselves form part of the Underlying Customer Distribution Proceeds (other than any UCDP Expenses) and shall be subject to the covenants on the part of LBIE contained in this Section 2.03(a)(B).
In the event Western Farm Service exercises its right to purchase the Property, County shall remit the Distribution Proceeds, if any, from that sale to the Auditor-Controller for distribution through the Auditor-Controller to the Taxing Entities under section 6 of this Agreement.
The Trustee/Investment Manager may require each Contributor to return the Distribution Proceeds, net of any tax withheld/ paid by such Contributor thereon, made to such Contributor in order to satisfy such Contributor’s pro-rata share of the liabilities of the Fund incurred in respect of (i) any non-tax obligations of the Fund including crystalized indemnification obligations arising from a sale of an investment in a Portfolio Entity and/or (ii) pursuant to a tax liability/ claim on the Fund.
Should the Lease expire or terminate without Western Farm Service exercising its option to purchase the Property, the County agrees that it shall, in connection with the subsequent conveyance of the Property, remit the Distribution Proceeds, if any, to the Auditor Controller for the distribution of the Distribution Proceeds through the Auditor-Controller to the Taxing Entities under section 6 of this Agreement.
The Investment Manager shall require the Contributors to return distributions pursuant to this Clause 2.16.3 pro rata based on the relative amount of Distribution Proceeds (excluding Additional Return) distributed to such Contributor from such Portfolio Investment pursuant to Clause 10 (if the liability pertains to a Portfolio Investment) or pro rata based on their relative Capital Commitments (if the liability does not pertain to a particular Portfolio Investment).
