Division Employees means those individuals who are employed by any Seller in the Division as of the Closing Date, a preliminary list of whom as of December 18, 1997 has been delivered by Sellers to Buyer prior to the date hereof and a definitive list of whom as of the close of business on the date prior to the Closing Date has been delivered by Sellers to Buyer at Closing.
