Upon delivery to Purchaser at the Closing of the Bills of Sale, Domain Name Assignment Agreement, Patent Assignment Agreement, and the Assignment and Assumption Agreements, Seller will thereby sell, transfer, convey and assign to Purchaser good and marketable title to the Purchased Assets, free and clear of all Encumbrances other than Permitted Encumbrances, subject to the terms and conditions of this Agreement.
