Each Swingline Loan shall be a Domestic Advance and, unless otherwise agreed between the Borrower and the Swingline Lender, a Floating Rate Advance.
No Domestic Advance shall be converted into a Eurodollar Advance and no Eurodollar Advance shall be continued less than seven (7) days before the Termination Date or at any time that an Event of Default or an Unmatured Event of Default shall exist.
In the event that any Domestic Lender fails to make available to Agent for the account of Issuing Bank the amount of such Domestic Advance, Issuing Bank shall be entitled to recover such amount on demand from such Lender together with interest thereon at a rate per annum equal to the lesser of (i) the Highest Lawful Rate and (ii) the Federal Funds Rate plus 0.50%.
The Agent shall maintain records sufficient to identify at any time, (i) the Advance Date Exchange Rate with respect to each Domestic Advance, and (ii) the portion of the outstanding Domestic Revolving Loans attributable to each Domestic Advance.
Interest on each Domestic Advance shall be computed on the basis of a year consisting of 365 days and paid for actual days elapsed.
