As used herein, the term “Loan” means the sum of (x) the total outstanding loans made by the Lender to the Borrower pursuant to Drawdown Requests under, and in accordance with the terms of, this Agreement and (y) the Outstanding Amount.
Drawdown Purchases will generally be made pro rata, in accordance with unfunded Capital Commitments of all investors, unless otherwise determined by the Adviser (including as the Adviser determines necessary or desirable in order to comply with any applicable legal, regulatory, tax or similar regimes).
The representations and warranties set out herein shall survive the execution and delivery of this Agreement and the making of each Drawdown under the Credit Agreement, notwithstanding any investigations or examinations which may be made by or on behalf of the Agent, the Lenders or Lenders' Counsel.
Each condition specified in Clauses 9 and 10 (Representations and Warranties, Undertakings) is satisfied on the date of this Drawdown Request.
As at the date of this Agreement and the first Drawdown Date only, no Event of Default has occurred and is continuing or might reasonably be expected to result from any Drawdown.
