Due Diligence Materials definition

Due Diligence Materials means the information to be provided by Seller to Purchaser pursuant to the provisions of Section 4.1 hereof.
Due Diligence Materials has the meaning set forth in Section 4.2.1 hereof.
Due Diligence Materials means those materials and information more particularly described on Exhibit C attached hereto and incorporated by reference herein.

Examples of Due Diligence Materials in a sentence

  • Seller makes no representations or warranties regarding the accuracy or completeness of the Due Diligence Materials.

  • Purchaser shall not be required to complete any of the Due Diligence Materials and Project Work Product after the date of termination and the Due Diligence Materials and Project Work Products shall be transferred and assigned in the state they are in as of the date of termination of the Contract.

  • In the event this Contract is terminated for any reason other than a Seller default, all Due Diligence Materials and Project Work Product shall become the property of Seller.

  • Purchaser agrees that all contracts with all third party vendors and providers of any of the Due Diligence Materials and Project Work Product shall include language authorizing and permitting the foregoing assignment and future use free and clear of any rights and/or liens of such vendors and providers and without any further payment from Seller.

  • As a condition to Seller’s obligations under this Amendment, Purchaser shall have executed and delivered to Seller a written assignment in the form attached hereto as Exhibit B (the “Project Work Product Assignment”) assigning, conveying or otherwise surrendering to Seller for Seller’s benefit, all of Purchaser’s right, title and interest in and to all Due Diligence Materials and Project Work Product.


More Definitions of Due Diligence Materials

Due Diligence Materials shall have the meaning set forth in Section 5.2.
Due Diligence Materials means (i) due diligence materials distributed in written or electronic form by or on behalf of any of the Sellers to Buyer or its Representatives or contained in the Data Room, (ii) all written answers to questions provided to Buyer or its Representatives, (iii) all information or materials discussed with or disclosed to Buyer or its Representatives in management presentations, question and answer sessions or other meetings or discussions among the Parties and their respective Representatives (including Buyer Group’s observations in any site visits), and (iv) any Environmental Report.
Due Diligence Materials means the Property Information, the Company Information and any other reports, financial statements or written materials delivered or made available to REIT by or on behalf of Contributors prior to the end of the Due Diligence Period.
Due Diligence Materials shall have the meaning set forth in Section 4.10(a).
Due Diligence Materials has the meaning set forth in Section 3.1(o).
Due Diligence Materials means the documents particularly shown and listed on Schedule 7.4 attached hereto and incorporated herein by reference, to the extent available and applicable; it is understood and agreed that items comprising Due Diligence Materials that have not changed need be delivered only once to satisfy delivery thereafter and that items comprising Due Diligence Materials are then applicable only to the extent available and applicable at the time, and only with respect to the Reimbursable Project Costs for which a Requisition is then being submitted as provided in Section 9.3.
Due Diligence Materials shall have the meaning given such term in Section 6.2.
