Due Diligence Materials definition

Due Diligence Materials means the information to be provided by Seller to Purchaser pursuant to the provisions of Section 4.1 hereof.
Due Diligence Materials has the meaning set forth in Section 6.02.
Due Diligence Materials means those materials and information more particularly described on Exhibit C attached hereto and incorporated by reference herein.

Examples of Due Diligence Materials in a sentence

  • A copy of any standard terms and conditions used by each Company Group Member has been provided to the Purchaser and, other than as disclosed in the Due Diligence Materials, no Company Group Member has entered into an agreement or arrangement with a customer or supplier different from these.

  • Any contract, transaction, arrangement or liability to which a Company Group Member is a party that involves, or likely to involve, obligations or liabilities that, by reason of their nature or magnitude ought reasonably be made known to an intending buyer of the Vendor Shares has been disclosed in the Due Diligence Materials.

  • All historical information in the Due Diligence Materials concerning each Company Group Member or the Vendor Shares is true and accurate in all material respects and is not misleading or deceptive in any material respect.

  • Any historical information actually known to the Vendor as at the Execution Date concerning the Company Group which might reasonably be regarded as material to a purchaser for value of the Vendor Shares has been disclosed in the Due Diligence Materials.

  • Tenant shall have a one hundred eighty (180) day inspection period commencing on the later of (i) the Effective Date and (ii) Tenant’s receipt of all Due Diligence Materials (as defined below).


More Definitions of Due Diligence Materials

Due Diligence Materials has the meaning set forth in Section 4.2.1 hereof.
Due Diligence Materials means (a) due diligence materials distributed in written or digital form by or on behalf of Seller to Purchaser or contained in the Data Room, (b) all written answers to questions provided to Purchaser, (c) all information or materials discussed with or disclosed to Purchaser in management presentations and (d) any Phase I Report.
Due Diligence Materials means the documents particularly shown and listed on Schedule 7.4 attached hereto and incorporated herein by reference, to the extent available and applicable; it is understood and agreed that items comprising Due Diligence Materials that have not changed need be delivered only once to satisfy delivery thereafter and that items comprising Due Diligence Materials are then applicable only to the extent available and applicable at the time, and only with respect to the Reimbursable Project Costs for which a Requisition is then being submitted as provided in Section 9.3.
Due Diligence Materials means the Property Information, the Company Information and any other reports, financial statements or written materials delivered or made available to REIT by or on behalf of Contributors prior to the end of the Due Diligence Period.
Due Diligence Materials shall have the meaning set forth in Section 4.10(a).
