Due Diligence Session definition

Due Diligence Session has the meaning ascribed thereto in subsection 6(a);

Due Diligence Session shall have the meaning set forth in subsection 3(d) hereof;

• The Due Diligence Session Responses will be true and correct in all material respects where they relate to matters of fact, and as at the time such responses are given, the Due Diligence Session Responses taken as a whole shall not omit any fact or information necessary to make any of the responses not misleading in light of the circumstances in which such responses were given, and the Corporation and its directors and officers will have responded in a thorough and complete fashion.

• The Underwriters shall distribute a list of written questions to be answered in advance of such Due Diligence Session and the Corporation shall provide written responses to such questions and shall use its commercially reasonable efforts to have its auditors and independent engineers provide written responses to such questions in advance of the Due Diligence Session.

• The Agent shall distribute a list of written questions to be answered in advance of such Due Diligence Session.

• Without limiting the generality of the foregoing, the Corporation shall make available its directors, senior management, auditors, legal counsel and independent engineers to answer any reasonable questions which the Agents may have and to participate in one or more due diligence sessions to be held prior to the Closing Time (collectively, the "Due Diligence Session").

• The Underwriters shall distribute a list of written questions to be answered in advance of such Due Diligence Session and the Corporation shall provide written responses to such questions and shall use its commercially reasonable efforts to have such auditors, independent engineers and legal counsel provide written responses to such questions in advance of the Due Diligence Session.

More Definitions of Due Diligence Session

Due Diligence Session means the due diligence question and answer session held with management of the Corporation on May 21, 2015 and July 14, 2014;
