Duties and Status. The Company hereby engages Executive as its President and CEO on the terms and conditions set forth in this Agreement including the terms and conditions of the Employee Proprietary Information, Inventions, and Non-Competition Agreement attached hereto as Exhibit A and incorporated herein (the “Non-Disclosure Agreement”). Executive agrees to devote the Executive’s entire business time, attention and energies to the business and interests of the Company during the Employment Period. During the Employment Period, Executive shall report directly to the Board of Directors (the “Board”) and shall exercise such authority, perform such executive functions and discharge such responsibilities as are reasonably associated with Executive’s position, commensurate with the authority vested in Executive pursuant to this Agreement and consistent with the governing documents of the Company.

Duties and Status. The Company hereby engages Executive as Chief Executive Officer of the Company on the terms and conditions set forth in this Agreement. During the Employment Period, Executive shall report directly to the Board of Directors of the Company (the “Board”), and exercise such authority, perform such executive duties and functions and discharge such executive responsibilities as are reasonably associated with Executive’s position, consistent with the responsibilities assigned to officers of companies comparable to the Company, commensurate with the authority vested in Executive pursuant to this Agreement and consistent with the Certificate of Incorporation and By-laws of the Company. Without limiting the generality of the foregoing, Executive shall undertake his duties in a manner consistent with the best interests of the Company and shall perform his duties to the best of his ability and in a diligent and proper manner. Executive shall perform all duties, services and responsibilities in accordance with the guidelines, policies and procedures established by the Board from time to time. Executive further agrees to devote his entire business time, attention, full skill and best efforts to the interests and business of the Company. Notwithstanding the foregoing or any other provision of this Agreement, it shall not be a breach or violation of this Agreement for the Executive to (i) serve on corporate (subject to approval of the Board), civic or charitable boards or committees, (ii) deliver lectures, fulfill speaking engagements or teach at educational institutions, or (iii) manage personal real estate investments, so long as such activities do not significantly interfere with or significantly detract from the performance of the Executive’s responsibilities to the Company in accordance with this Agreement.
Duties and Status. The Company hereby engages and employs the Executive for the Employment Period, as defined in Section 3.1 herein, and the Executive accepts such employment, on the terms and subject to the conditions set forth in this Agreement. During the Employment Period, the Executive shall faithfully exercise such authority and perform such duties on behalf of the Company as are normally associated with his title and position as the Vice President and Chief Financial Officer or such other duties or position as the Chief Executive Officer of the Company shall determine.
Duties and Status. (a) Throughout the Employment Period, the Employee shall exercise such authority and perform such duties as are assigned to her by the Company's Board of Directors, which shall include but not be limited to the following: (i) serve as spokesperson for the Company which shall include, but not be limited to, appearing in infomercials, commercials, print advertisements and any other form of advertisement or public relations as the Company shall determine; (ii) work on product development for the Company which shall include developing new products, improving existing products and expanding the existing line of products; (iii) conduct lectures and seminars on such topics and at such times and locations as may be determined by the Company; and (iv) perform all other duties and responsibilities for the Company, provided that such duties and responsibilities are reasonable and commensurate with the Employee's status as a principal employee of the Company. (b) Throughout the Employment Period, the Employee shall (i) devote her full time and efforts to the business of the Company and will not engage in consulting work or any trade or business for her own account or for or on behalf of any other person, firm or corporation which competes, conflicts or interferes with the performance of her duties hereunder in any way and (ii) accept such additional or different duties and responsibilities as are assigned to her by the Company, provided that such duties and responsibilities are reasonable and commensurate with the Employee's status as a principal employee of the Company. (c) The Employee shall be required to perform the services and duties referred to in this Section 2 at the offices of the Company in Baltimore, Maryland or at such other locations; provided that the Employee shall be required to travel, at the Company's expense, to such regional offices as shall be established from time to time as well as to seminar, client, job, filming or any other locations as may be reasonably necessary in the performance of her duties hereunder.
Duties and Status. The Company hereby engages Executive as Executive Vice President and Chief Financial Officer of the Company for the Term (as defined in Section 3.1 hereof), and Executive accepts such employment, on the terms and subject to the conditions set forth in this Agreement. During the Term, Executive will faithfully exercise such authority and perform such duties on behalf of the Company as are normally associated with his title and position as Executive Vice President and Chief Financial Officer and such other duties or positions as Executive and the Company will mutually determine from time to time, including service as the President and Chief Financial Officer of the Bank and for such other affiliates of the Company as shall be mutually determined. In the capacity defined in this Section 1.1, Executive will report to the Chief Executive Officer of the Company.
Duties and Status. (a) The Executive will serve as the Company’s Chief Executive Officer during the Employment Period, and the Executive accepts such employment, on the terms set forth in this Agreement. The Executive shall also serve as Chief Executive Officer of Bowhead Underwriting Services, Inc. (“BUSI”), Bowhead Insurance Company Inc. and Bowhead Specialty Underwriters Inc. Notwithstanding the foregoing, the Company shall be the sole employer of Executive during the Employment Period, with compensation under Section 3 being paid, and employee benefits under Section 4 being provided, by BUSI. The Executive shall serve as a member of the board of directors of the Company (the “Board”) without additional compensation therefor and shall report to the Board. Further, the Executive shall (i) serve on the boards of directors of Bowhead Insurance Company Inc., Bowhead Specialty Underwriters Inc. and other Subsidiaries of Bowhead Holdings and (ii) hold such corporate officer titles and positions of Bowhead Holdings, the Company and its Subsidiaries, as may be required under other agreements or reasonably requested by the Board in its sole discretion. The Executive agrees to resign from the boards of all other positions with all entities affiliated with Bowhead Holdings and its Subsidiaries, including the Company, as of the last day of the Employment Period. (b) As Chief Executive Officer, the Executive shall have all rights, powers, privileges and duties for a position in an organization of the size and nature of the Company and its Subsidiaries (collectively, the “Bowhead Group”) subject to direction by the Board. The Executive shall exercise the scope of his authority in good faith and in a manner consistent with industry standards and reasonably calculated to achieve material compliance with the laws, regulations, policies, procedures and contracts applicable to the business of the Bowhead Group. Nothing in this Agreement shall prohibit Executive from reasonably delegating parts of the responsibilities set forth in or contemplated by this Section 2(b) to other employees of the Bowhead Group. (c) The Executive shall devote substantially all of his business time and efforts to the business of the Bowhead Group, it being understood and agreed that the Executive shall be permitted to: (i) serve on up to two other boards of directors (or advisory committee) of a corporation, limited liability company or other entity, (ii) serve on the boards of a reasonable number of trade associa...
Duties and Status. Resident hereby agrees to perform the duties of a «PGY_Level» Resident, beginning «Contract_Start_Date» in the <<Program>> Residency Program at WMed. Resident shall be responsible to the Program Director of <<Program>> for educational and service responsibilities and shall perform all of the duties established by the Program Director, from time to time, including, but not limited to, participating in the curriculum requirements of the Program, participating in clinical programs and serving as an educator for medical students and other health professionals. During the term of this Agreement, resident shall devote resident’s full time and efforts to the duties of a resident in the Program and shall not engage in any other work, trade or business for his/her own account or for or on behalf of any other person, firm, corporation or other entity without the prior written consent of the Program Director. Resident shall perform, to the best of his/her ability, all duties assigned to him/her; observe the rules and regulations of WMed and any hospital, office, clinic, or other organization to which resident shall be assigned as part of his/her duties; conduct himself/herself, at all times, in a professional manner consistent with the behavior customarily expected of physicians; complete all medical records in a conscientious manner and in accordance with the rules and regulations adopted from time to time by WMed or any office, hospital, clinic or other organization in which resident is assigned to work; satisfy and maintain all legal requirements of the State of Michigan regarding the issuance of any educational limited or permanent license to practice medicine; and otherwise comply with the lawful directives of the Program Director. Resident agrees to comply with ACGME Duty Hour rules and document his/her daily duty hours at least bi-weekly on the New Innovations Resident Management System. Resident agrees to input procedures as they are performed into his/her WMed Resident Demonstrated Procedural Competency record utilizing the New Innovations Resident Management System, as required by the program Resident agrees to complete all required general competency modules as assigned by his/her program.

Duties and Status. The Company hereby engages and employs the Executive as Vice President of Operations and Chief Operating Officer for the Employment Period, as defined in Section 3.1 hereof, and the Executive accepts such employment, on the terms and subject to the conditions set forth in this Agreement. Duties and Status. The Bank hereby engages Executive as Executive Vice President of the Bank for the Term (as defined in Section 3.1 hereof), and Executive accepts such employment, on the terms and subject to the conditions set forth in this Agreement.
