Early Termination of Services. 8.1 You or we may bring the provision of all or any services to an end at any time by giving written notice to the other. We will not do this without giving you reasonable notice and without good reason, such as:-
(a) your failure to pay us money due to us or money on account which we have asked for;
(b) your insolvency;
(c) the discovery or creation of a conflict of interests;
(d) our being prevented from providing services to you by the National Crime Agency;
(e) you asking us to break the law or any professional requirement;
(f) a break down in the relationship of trust and confidence between us and you;
(g) a failure by you to treat our staff with respect;
(h) your failure to give us adequate instructions; or
(i) any other breach by you of the terms of our letter of engagement and this document.
8.2 If you terminate the provision of services by us, you will be liable for our fees, expenses and disbursements paid or incurred up to the date of termination, together with any other fees or payments necessary for the transfer of the work to another adviser. All our rights in this document and the letter of engagement will continue to apply even if the agreement between us is terminated.
Early Termination of Services. Except as otherwise agreed to by the parties, Kenvue may terminate any Service, in whole but not in part (it being understood that the termination of any Service will also result in the termination of those Services that have the same “Group Identification” as such Service as set forth on Exhibit A). Kenvue must provide J&J with at least 60 days’ prior written notice of such early termination (unless a different notice period is expressly set forth with respect to such Service on Exhibit A hereto), which shall become effective on the last day of the Service Month (as defined by the Xxxxxxx & Xxxxxxx Universal Calendar for the applicable year, the “Service Month”) in which such 60 day prior written notice period concludes. A copy of the Xxxxxxx & Xxxxxxx Universal Calendar for each of years 2023, 2024 and 2025 is attached hereto as Exhibit J.
Early Termination of Services. The Service Recipient may terminate any Service, in whole or in part, prior to the applicable Service Termination Date by delivering to the Service Provider advance written notice of such termination no later than thirty (30) days prior to the applicable Service Termination Date (unless the terms set forth in the applicable Services Schedule designate a longer advance notice period for termination of such Service, in which case the Service Recipient shall provide written notice in accordance with such terms). In the event of any such termination of any Service, in whole or in part, the Fees payable by the Service Recipient for such Service will be reduced to reflect the terminated Service or the portion thereof that is terminated, as the case may be. Notwithstanding the foregoing, no termination of any Service shall relieve the Service Recipient of any of its obligations hereunder to pay the Service Provider all applicable Fees and Expenses incurred prior to such termination.
Early Termination of Services. Unless otherwise set forth in the applicable Schedule, any Service may be terminated prior to the end of the applicable Service Period by the Service Recipient upon not less than thirty (30) days’ prior written notice specifying the date termination is to be effective; provided, that the Service Recipients acknowledge and agree that in the event that any Service is dependent on the Service being terminated, such dependent Service shall be automatically terminated simultaneously with the termination of the Service on which it is dependent. After any early termination of a Service, the Service Provider shall have no obligation to reinstate such Service at a time subsequent to the effective date of such termination.
