operating charge means any amount charged to a client by a registered firm in respect of the operation, transfer or termination of a client’s account and includes any federal, provincial or territorial sales taxes paid on that amount;
Floating Charge means a charge that, as created, was a floating charge;
parking charge means the charge paid by drivers to leave a vehicle in a parking place;
Trigger Event Date means a date on which a Trigger Event has occurred as determined by the Calculation Agent.
Monthly Recurring Charge or “MRC” shall mean the monthly recurring charges for the Service as set out in the Customer Order Form or COF;
Carrying Charges or "rental" means all regular charges paid on a periodic basis to a housing corporation by a person or family living in a rental or cooperative housing project, excluding initial down payments.
Trigger Event shall have the meaning specified in Section 14.04(c).
Restructuring Charges means any charges or expenses in respect of restructuring or consolidating any business, operations or facilities, any compensation or headcount reduction, or any other cost savings, of any Persons or businesses either alone or together with the Company or any Restricted Subsidiary, as permitted by GAAP or Regulation S-X under the Securities Act.
Early Termination Charge means, with respect to any 2016-B Lease that is terminated prior to its Maturity Date, an amount equal to the lesser of (a) the present value (discounted at the implicit rate of such 2016-B Lease) of all remaining Monthly Payments and (b) the excess, if any, of the adjusted 2016-B Lease balance over the related 2016-B Vehicle’s fair market wholesale value in accordance with accepted practices in the automobile industry (or by written agreement between the Servicer, on behalf of the Titling Trust, and the Lessee).
RUNNING CHARGE PER KILOMETER means the rates payable against each KM run. and shall be deemed to include all the expenditures of the Transport Supplier viz., cost of fuel, tyre/tube, battery & consumables like lubricants etc. and other maintenance expenditures including accessories involved including GST element as applicable towards movement of the vehicle(s)/equipment.
Recurring Charges means where you allow a Merchant to bill your Account for a specified or unspecified amount, at regular or irregular intervals for goods or services;
Change of Control Conversion Date shall have the meaning provided in the Articles Supplementary.
Step Down Rating Change means the first public announcement by S&P and, if applicable, each other Rating Agency appointed by or with the consent of Heimstaden Bostad, after a Step Up Rating Change, that the credit rating of Heimstaden Bostad's senior unsecured long-term debt is at least BBB- in the case of S&P and, if applicable, at least Baa3 in the case of Moody's and at least BBB- in the case of Fitch with the result that, following such public announcement, no Rating Agency assigns a credit rating below the aforementioned levels or any equivalent rating. For the avoidance of doubt, any further increase in the credit rating of Heimstaden Bostad's senior unsecured long-term debt above BBB- in the case of S&P and, if applicable, at least Baa3 in the case of Moody's and at least BBB- in the case of Fitch and in respect of any other Substitute Rating Agency, an equivalent rating or above shall not constitute a further Step Down Rating Change;
Tube rating chart means the set of curves which specify the rated limits of operation of the tube in terms of the technique factors.
Trigger means the act of a train arriving at, passing or departing from a Recording Point;
Step Up Rating Change means the first public announcement by S&P or, if applicable, any other Rating Agency appointed by or with the consent of Heimstaden Bostad, of a decrease in the credit rating of Heimstaden Bostad's senior unsecured long-term debt to below BBB- (in the case of S&P) or below Baa3 (in the case of Moody's) or below BBB- (in the case of Fitch). For the avoidance of doubt, any further decrease in the credit rating of Heimstaden Bostad's senior unsecured long-term debt below BBB- in the case of S&P or, if applicable, below Baa3 in the case of Moody's or below BBB- in the case of Fitch and in respect of any other Substitute Rating Agency, an equivalent rating or below shall not constitute a further Step Up Rating Change.
Non-Recurring Charges means any charges imposed by the TDSP or other third parties on a non-recurring basis for services, repairs or additional equipment needed for Customer’s electric service.
Monthly Charge shall have the meaning set forth in Article 5.
Trigger Price shall have the meaning set forth in Section 2.3.1(b).
Minimum Charge means the higher of the rate minimum and the rate applied to the Contracted Minimum Demand;
Event Date shall have the meaning set forth in Section 2(d).
Change of Control Put Date shall have the meaning specified in Section 11.1.
VWAP Price means, on any Exchange Business Day, the per Share volume-weighted average price as displayed under the heading “Bloomberg VWAP” on Bloomberg page “ECPG <equity> AQR” (or any successor thereto) in respect of the period from 9:30 a.m. to 4:00 p.m. (New York City time) on such Exchange Business Day (or if such volume-weighted average price is unavailable, the market value of one Share on such Exchange Business Day, as determined by the Calculation Agent using a volume-weighted method).
Preceding Business Day Convention means that the relevant date shall be brought forward to the first preceding day that is a Business Day;
VWAP Trading Day means a Business Day.
